Global Capital Markets Ltd. Company History and Annual Growth Details

The Company was originally incorporated as a Private
Limited Company on 20.02.1989 as Baid & Company Private
Limited under the Companies Act, 1956. The Company became a
Public Limited Company by passing a special resolution on
04.03.93 in terms of Section 44 of the Companies Act, 1956
and received fresh Certificate of Incorporation on
13.06.1994. The name of the Company was changed to Global
Capital Markets Limited and fresh Certificate of
Incorporation consequent to change of name was received on
28.06.1994.

B. MAIN OBJECTS OF THE COMPANY

The main objects of the Company as set out in the
Memorandum & Articles of Association of the Company
inter-alia are as follows :

1. To carry on any business of buyers, sellers, suppliers,
traders, merchants, importers, exporters, indentors,
brokers, agents, assemblers, packers, stockist,
distributors and dealers of and in hardware & stores, spare
& accessories, commercial, natural and man-made fibres,
textiles of all kinds, all types of yarn, jute and jute
products, chemicals, building materials, vehicle parts,
automobile parts, machine parts, industrial components,
plastics and electronic parts & devices, bullion, precious
stone works of art, antique, curious jewellery and
ornaments and in all kinds of machinery and accessories.

2. To carry, acquire by purchase, lease, exchange, hire or
otherwise estates, lands, hereditaments, buildings
workshops, office accommodations, factories, easements,
forests, orchards, gardens, farms, or other interests in
real estate & to sell, let, lease, sub-lease or otherwise
dispose of and to grant rights over any real property
belonging to the Company. To construct, let out, furnish
and carry on all or any of the functions of proprietors of
flats, massionettes, dewelling houses, shops, affairs,
clubs and for these purposes prepare building sites and to
construct, reconstruct, repair, pull down, alter, improve,
decorate, furnish and maintain flats, massionettes,
dewelling houses, shops, offices, buildings, works and
sanitary conveniences of all kinds and to set apart land
for pleasure gardens and recreations ground or otherwise
improve the land or any part thereof.

3. To construct thereon buildings flats, rooms, houses, and
to manage or let the same or any part thereof for any
period whether belonging to the Company or not, and at such
rent and on such terms and conditions as the Company shall
think fit, proper and convenient, and to collect rents and
income, drainage, water and electric charges, and charges
for the supply to tenants and occupiers and others light,
heat and drainage and charges for the refreshments,
attendents, messengers and for equipping waiting-rooms,
reading rooms, meeting rooms, providing thereon lavatories,
bathhouses, laundry, conveniences, to install electric
conveniences, garages, recreation facilities and other
amenities, from time to time, as and when the Company
shall consider, desirable, or to arrange such
management, letting and advantages as aforesaid by
employing any persons, firms or company to carry out
and furnish the same on such terms as the Company
may think fit, proper and expedient.

The Directors of the Company have passed a resolution in
the Board Meeting held on 13.04.90 to carry out the
activities as authorised by its other objects enumerated
below:

Clause III(C)(14)

To carry on the business of Investment Company and to
invest in and acquire and hold and otherwise deal in
shares, stocks, debentures, bonds obligations and
securities issued or guaranteed by any Company constituted
or carrying on business in India or elsewhere and
debentures, stocks, bonds, obligations and securities
issued or guaranteed by any Government, State dominion,
sovereign, ruler, public-body or authority, municipal,
local or otherwise, whether in India or elsewhere.

Clause III(C)(15)

Subject to the provision of the Act and direction issued by
RBI to carry on any business of financiers of industrial,
commercial and other enterprises and general financiers,
business of leasing, film financiers, trustees, real estate
owners, landlords, real estate agents, builders,
underwriters, merchant bankers, guarantors, hire-purchase
dealers, investors, promoters and brokers and dealers of
and in share, stock, debentures, securities, bonds,
obligations claims, licenses and charges, land, building,
houses, easements, negotiable instruments, decrees,
concerns, warehouses, property, and rights of all kinds,
agricultural land, farms, gardens lates, showroom, office,
residential units, ships and godowns, business of insurance
agents, trust company, safe deposit company and such other
business and acts, required in connection therewith and to
receive on deposit or borrow and raise money provided that
the Company shall not carry on the business of Banking as
defined under the Banking Act, 1949.

C. PRESENT BUSINESS OF THE COMPANY

Presently the Company is engaged in the business of
investment in shares & securities, leasing and short term
loans.

1. Leasing

Leasing industry is gaining acceptance as an alternative
source of financing of plant & machinery, etc. In view of
the government policy of liberalisation and its recent
decision of extending MODVAT benefit to the capital goods
taken on lease, the demand of leasing is expected to
increase substantially. The Company took up this activity
in the year 1993-94. It is providing lease finance mainly
for high value equipments, vehicles and plant & machinery
to its clients. Its gross outstanding leased assets as on
31-03-94 stood at Rs. 22.59 Lacs.

2. Investment in Shares & Securities

The Company is carrying on the business of investment in
shares & securities for last five years. The investment
activities of the Company have borne fruitful results and
the Company has earned Rs.11.48 Lacs for the year ended
31st March, 1994 on an investment of Rs.58.41 Lacs. The
company plans its buying and selling decisions with the
help of a team of qualified professionals on the basis of
fundamental and technical analysis of the companies at
periodic intervals. Also, the company makes purchases and
sales on behalf of its clients. Income from Capital Market
Operations was 32% of the total income for the year ended
31 03-94.

3. Other Financial Services

The other sources of income are from advisory services
interest on short-term loans given by the Company. The
Company advises clients on stock market related activities.

SUBSIDIARY OF THE COMPANY

The Company has no subsidiary at present.

1995

-Global Capital Market pays dividend @ 15%

2010

-Global Capital Markets the face value splits from Rs. 10/- each to Re. 1/- each.

2011

-Mr. Shrenik Choraria has been appointed as Compliance Officer of the Company.

-Company has changed its name from Global Capital Markets Ltd. to Global Capital Market & Infrastructures Ltd.

2013

-Company has Consolidates its Face value of Shares from Rs 1 to Rs 10.

2023

-The Company has issued Bonus Shares in the Ratio of 6:10.

-The Company has splits its face value from Rs. 10/- to Rs. 1
