1956 and had received the Certificate of Commencement of business on 3rd
April, 2010.

The Maestros Mediline Systems Limited Company
commenced its business in 1972 and has been inter alia carrying business
of Medical Embedded Systems and, Information Technology and Electronics &
Instrumentation. Over a period of time the company started new business
verticals and now Maestros provide services in applications management,
development, integration of medical software and equipment, Electronics
components as OEM for industrial application and infrastructure management.

The Scheme provides for the transfer
and vesting of Electronics Business of Maestros Mediline Systems Limited to
Maestros Electronics & Telecommunications Systems Limited and
Infrastructure Business of Maestros Mediline Systems Limited to MMS
Infrastructure Limited through a Scheme of Arrangement, and the consequent
issue of equity shares by the Resulting Companies to the shareholders of the
Applicant Company pursuant to Sections 391 to 394 and Section 100 to 105 and
other relevant provisions of the Act, and various other matters consequential
to or otherwise integrally connected with the above in the manner provided for
in the Scheme.
