Significant accounting policies
The financial statements which comprise the Balance Sheet, the Statement of Profit and Loss (including Other
Comprehensive Income), the Cash Flow Statement, and the Statement of Changes in Equity ("financial statementsâ) have
been prepared in accordance with Indian Accounting Standards (Ind AS) notified under the Section 133 of the Companies
Act, 2013 ("the Actâ), Companies (Indian Accounting Standards) Rules, 2015, as amended, along with relevant amendment
rules issued thereafter and other relevant provisions of the Act, as applicable. The Company has consistently applied
accounting policies to all periods.
These financial statements have been prepared on a historical cost basis except for certain financial instruments that
are measured at fair values at the end of each reporting period, as explained in the accounting policies below.
Fair value is the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction
between market participants at the measurement date, regardless of whether that price is directly observable or
estimated using another valuation technique. In estimating the fair value of an asset or liability, the Company takes into
account the characteristics of the asset or liability of market participants would take those characteristics into account
when pricing the asset or liability at the measurement date. Fair value for measurement and / or disclosure purposes in
these financial statements is determined on such a basis, except for share-based payment transactions that are within
the scope of lnd AS 102, leasing transactions that are within the scope of Ind AS 116, and measurements that have some
similarities to fair value but are not fair value, such as value in use in Ind AS 36.
In addition, for financial reporting purposes, fair value measurements are categorized into Level 1, 2, or 3 based on the
degree to which the inputs to the fair value measurements are observable and the significance of the inputs to the fair
value measurement in its entirety, which are described as follows:
⢠Level 1 inputs are quoted prices (unadjusted) in active markets for identical assets or liabilities that the entity can
access at the measurement date;
⢠Level 2 inputs are inputs, other than quoted prices included within Level 1, that are observable for the asset or
liability, either directly or indirectly; and
⢠Level 3 inputs are unobservable inputs for the asset or liability.
Inventories are valued at lower of cost or net realizable value. Cost of inventories is ascertained on ''weighted average''
basis. Materials and other supplies held for use in the production of inventories are not written down below cost if the
related finished products are expected to be sold at or above cost.
Cost in respect of raw materials and stores and spares includes expenses incidental to procurement of the same. Cost
in respect of finished goods represents prime cost and includes appropriate portion of overheads.
Cost in respect of work-in-progress represents, cost incurred up to the stage of completion.
Cost in respect of work-in-progress represents cost of materials remaining uncertified / incomplete by the Company.
Goods-in-transit are valued at cost which represents the costs incurred up to the stage at which the goods are in-transit.
Scrap material is valued at the net realizable value after providing for obsolescence and other losses (if any).
In preparing the financial statements of the Company, transaction in currencies other than the entity''s functional
currency (foreign currencies) are recognized at the rates of exchange prevailing at the dates of transaction. At the end of
each reporting period, monetary items denominated in foreign currencies are retranslated at the rate prevailing at that
date. Non-Monetary items carried at fair value that are denominated in foreign currencies are retranslated at the rates
prevailing at the date when the fair value was determined. Non-Monetary items that are measured in terms of historical
cost in a foreign currency are not restated.
Exchange differences on monetary items are recognized in the Statement of profit and loss in the period in which they
arise.
Items included in the financial statements of the Company are measured using the currency of the primary economic
environment in which the entity operates (i.e. the "functional currencyâ). The financial statements are presented in Indian
Rupee (H), the national currency of India, which is the functional currency of the Company.
Income tax expense representing the sum of current tax expenses and the net charge of the deferred taxes is recognized
in the income statement except to the extent that it relates to items recognized directly in equity or other comprehensive
income.
Current income tax is provided on the taxable income and recognized at the amount expected to be paid to or recovered
from the tax authorities, using the tax rates and tax laws that have been enacted or substantively enacted by the end
of the reporting period.
Deferred tax is recognized on temporary differences between the carrying amounts of assets and liabilities in the
Financial Statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities
are generally recognized for all taxable temporary differences. Deferred tax assets are generally recognized for all
deductible temporary differences to the extent that it is probable that taxable profits will be available against which
those deductible temporary differences can be utilized.
Deferred tax liabilities and assets are measured at the tax rates that are expected to apply in the period in which
the liability is settled or the asset realized, based on tax rates (and tax laws) that have been enacted or substantively
enacted by the end of the reporting period.
The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent
that it is no longer probable that sufficient taxable profits will be available to allow all or part of the deferred tax asset
to be utilized.
The Company evaluates if an arrangement qualifies to be a lease as per the requirements of Ind AS 116. Identification of a
lease requires significant judgment. A contract is, or contains, a lease if the contract conveys the right to control the use
of an identified asset for a period of time in exchange for consideration. The determination of whether an arrangement
is (or contains) a lease is based on the substance of the arrangement at the inception of the lease. The arrangement
is, or contains, a lease if fulfilment of the arrangement is dependent on the use of a specific asset or assets and the
arrangement conveys a right to use the asset or assets, even if that right is not explicitly specified in an arrangement.
The Company''s significant leasing arrangement are in respect of land, office premises and plant & equipment. The
Company, at the inception of a contract, assesses whether the contract is a lease or not lease. A contract is, or contains, a
lease if the contract conveys the right to control the use of an identified asset for a time in exchange for a consideration.
The Company recognises a right-of-use asset and a lease liability at the lease commencement date. The right-of-use
asset is initially measured at cost, which comprises the initial amount of the lease liability adjusted for any lease
payments made at or before the commencement date, plus any initial direct costs incurred and an estimate of costs to
dismantle and remove the underlying asset or to restore the underlying asset or the site on which it is located, less any
lease incentives received.
The right-of-use asset is subsequently depreciated using the straight-line method from the commencement date to the
end of the lease term.
The lease liability is initially measured at the present value of the lease payments that are not paid at the commencement
date, discounted using the Company''s incremental borrowing rate. It is remeasured when there is a change in future
lease payments arising from a change in an index or rate, if there is a change in the Company''s estimate of the amount
expected to be payable under a residual value guarantee, or if the Company changes its assessment of whether it will
exercise a purchase, extension or termination option. When the lease liability is remeasured in this way, a corresponding
adjustment is made to the carrying amount of the right-of-use asset, or is recorded in profit or loss if the carrying
amount of the right-of-use asset has been reduced to zero.
The Company has elected not to recognise right-of-use assets and lease liabilities for short-term leases that have a lease
term of 12 months or less and leases of low-value assets. The Company recognises the lease payments associated with
these leases as an expense over the lease term.
Basic earnings per share are computed by dividing the net profit attributable to the equity holders of the company by
the weighted average number of equity shares outstanding during the period.
Dilutive potential equity shares are deemed converted as of the beginning of the year, unless issued at a later date. In
computing diluted earnings per share, only potential equity shares that are dilutive and that either reduces earnings per
share or increases loss per share are included. The number of shares and potentially dilutive equity shares are adjusted
retrospectively for all periods presented for the share splits.
Significant gains/ losses or expenses incurred arising from external events that is not expected to recur are disclosed as
''Exceptional item''.

1. Significant accounting policies
1.1 Statement of compliance:
The Company has adopted Indian Accounting Standards (referred to as âInd ASâ) notified under the Companies (Indian Accounting Standards) Rules, 2015 (as amended) read with Section 133 of the Companies Act, 2013 (âthe Actâ) with effect from April 1, 2017, along with relevant amended rules issued thereafter and other relevant provisions of the Act, as applicable.
These are the Companyâs first Ind AS Financial Statements and the date of transition to Ind AS has been considered to be April 1, 2016.
The financial statement up to the year ended March 31, 2017, were prepared under the historical cost convention on accrual basis in accordance with the Generally Accepted Accounting Principles and Accounting Standards as prescribed under the provisions of the Companies Act, 2013 read with the Companies (Accounts) Rules, 2014 then applicable (Previous GAAP) to the Company. Previous period figures in the Financial Statements have been re-casted to Ind AS.
Refer Note 35 for an explanation of how the transition from previous GAAP to lnd AS has affected the Companyâs position, financial performance and cash flows.
1.2 Basis of preparation and presentation:
These financial statements have been prepared on a historical cost basis except for certain financial instruments that are measured at fair values at the end of each reporting period, as explained in the accounting policies below.

1.3 Use of estimates:
The preparation of the financial statements in conformity with Ind AS requires the management to make estimates and assumptions considered in the reported amounts of assets and liabilities and disclosures relating to contingent liabilities as at the date of the financial statements and the reported amounts of income and expenditure for the periods presented.
The management believes that the estimates used in preparation of the financial statements are prudent and reasonable.
Future results could differ from these estimates - estimates and underlying assumptions are reviewed on an ongoing basis. The effects of changes in accounting estimates are reflected in the financial statements in the period in which results are known and, if material, are disclosed in the financial statements.
In particular, information about significant areas of estimation uncertainty and critical judgments in applying accounting policies that have the most significant effect on the amounts recognized in the financial statements is included in the following notes:
- Useful lives of property, plant and equipment and intangible assets
- Assets and obligations relating to employee benefits
- Evaluation of recoverability of deferred tax assets
- Financial instruments
- Provisions and contingencies
1.4 Inventories:

1.5 Foreign currency translation:
In preparing the financial statements of the Company, transaction in currencies other than the entityâs functional currency (foreign currencies) are recognised at the rates of exchange prevailing at the dates of transaction. At the end of each reporting period, monetary items denominated in foreign currencies are retranslated at the rate prevailing at that date. Non-Monetary items carried at fair value that are denominated in foreign currencies are retranslated at the rates prevailing at the date when the fair value was determined. Non Monentary items that are measured in terms of historical cost in a foreign currency are not retranslated.
ExChange differences on monetary items are recognised in profit or loss in the period in which they arise.
Functional currency
The functional currency of the Company is the Indian rupee. These financial statements are presented in Indian rupees (rounded off to lakhs).
1.6 Income taxes:

Deferred tax assets include Minimum Alternative Tax (MAT) measured in accordance with the tax laws in India, which is likely to give future economic benefits in the form of availability of set of against future income tax liability and such benefit can be measured reliably and it is probable that the future economic benefit associated with same will be realized.
The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the deferred tax asset to be utilized.
1.7 Leases: As a lessee:
At the inception of each lease, the lease arrangement is classified as either a finance lease or an Operating lease, based on the substance of the lease arrangement.
Operating leases:
Leases in which a significant portion of the risks and rewards of ownership are not transferred to the Company as lessee are classified as operating leases. Payments made under operating leases (net of any incentives received from the lessor) are charged to profit or loss on a straight-line basis over the period of the lease unless the payments are structured to increase in line with expected general inflation to compensate for the Lessorâs expected inflationary cost increases.
As a lessor:
Operating lease:
Lease income from operating leases where the Company is a lessor is recognised in income on a straight-line basis over the lease term unless the receipts are structured to increase in line with expected general inflation to compensate for the expected inflationary cost increases. The respective leased assets are included in the balance sheet based on their nature.
1.8 Earnings per share:
Basic earnings per share are computed by dividing the net profit attributable to the equity holders of the company by the weighted average number of equity shares outstanding during the period. Diluted earnings per share is computed by dividing the net profit attributable to the equity holders of the company by the weighted average number of equity shares considered for deriving basic earnings per share and also the weighted average number of equity shares that could have been issued upon conversion of all dilutive potential equity shares.
1.9 Provisions, Contingent Liabilities and Contingent Assets:
Provisions involving substantial degree of estimation in measurement are recognized when there is a legal or constructive obligation as a result of past events and it is probable that there will be an outflow of resources and a reliable estimate can be made of the amount of obligation.
Provisions are not recognised for future operating losses. The amount recognized as a provision is the best estimate of the consideration required to settle the present obligation at the end of the reporting period, taking into account the risks and uncertainties surrounding the obligation.
Contingent liabilities are not recognized and are disclosed by way of notes to the financial statements when there is a possible obligation arising from past events, the existence of which will be confirmed only by the occurrence or non-occurrence of one or more uncertain future events not wholly within the control of the Group or when there is a present obligation that arises from past events where it is either not probable that an outflow of resources will be required to settle the same or a reliable estimate of the amount in this respect cannot be made.
Contingent assets are not recognised but disclosed in the Financial Statements by way of notes to accounts when an inflow of economic benefits is probable.
1.10 Cash and cash equivalents:
Cash comprises cash on hand, in bank and demand deposits with banks. The Company considers all highly liquid financial instruments, which are readily convertible into cash and have original maturities of three months or less from the date of purchase, to be cash equivalents. Such cash equivalents are subject to insignificant risk of changes in value.
Cash flows are reported using indirect method, whereby profit / (loss) after tax is adjusted for the effects of transaction of noncash nature and any deferrals or accruals of past or future cash receipts or payments. The cash flows from Operating, investing and financing activities of the Company are segregated based on the available information.
1.11 Revenue:
Sale of Goods and Services :
Revenue is recognized at the fair value of consideration received or receivable when the significant risk and rewards of goods ownership of goods have been transferred and the amount thereof can be measured reliably. This represents the net invoice value of goods supplied after deducting discounts, rebates and taxes and duties collected on behalf of third parties and is net of GST and other duties which the company pays as principal.
Interest, Dividend and Claims:
Dividend income is recognized when the right to receive payment is established. Interest has been accounted using effective interest rate method. Insurance claims/ other claims are accounted as and when admitted /settled.
Export Benefits:
Export benefits arising on account of entitlement for duty free imports are accounted for through import of materials. Other export benefits are accounted for as and when the ultimate realisability of such benefits are established.
1.12 Property, plant and equipment:
Property, plant and equipment are stated at cost, less accumulated depreciation and impairment, if any. Costs directly attributable to the acquisition are capitalized until the property, plant and equipment are ready for use, as intended by management.
The Company depreciates property, plant and equipment over their estimated useful lives using the straight-line method as per the useful life prescribed in Schedule II to the Companies Act, 2013. Depreciation methods, useful lives and residual values are reviewed periodically including at each financial year-end.
An item of property, plant and equipment is derecognised upon disposal or when no future economic benefits are expected to arise from the continued use of the asset. Any gain or loss arising on the disposal or retirement of an item of property, plant and equipment is determined as the difference between the sales proceeds and the carrying amount of the asset and is recognised in other income in the statement of profit or loss.
1.13 Depreciation and Amortization
Depreciation on Property, Plant and Equipment except as stated below, is provided as per Schedule II of the Companies Act, 2013 on straight line method. Depreciation on upgradation of Property, Plant and Equipment is provided over the remaining useful life of the assets.
Leasehold Land held under finance lease including leasehold land are depreciated over their expected lease terms. No depreciation is charged on Freehold land.
Depreciation on Property, Plant and Equipment commences when the assets are ready for their intended use. Based on above, the useful lives as estimated for other assets considered for depreciation are as follows:
Depreciation methods, useful lives, residual values are reviewed and adjusted as appropriate, at each reporting date.
1.14 Intangibles assets
Intangible assets are stated at cost comprising of purchase price inclusive of duties and taxes less accumulated amount of amortization and impairment losses. Such assets, are amortized over the useful life using straight line method and assessed for impairment whenever there is an indication of the same.
Cost of computer software packages (ERP and others) allocated/amortized over a period of 10 years/ 5 years.
Depreciation methods, useful lives and residual values are reviewed, and adjusted as appropriate, at each reporting date.
1.15 De-recognition of Tangible and Intangible assets
An item of PPE is de-recognized upon disposal or when no future economic benefits are expected to arise from its use or disposal. Gain or loss arising on the disposal or retirement of an item of PPE is determined as the difference between the sales proceeds and the carrying amount of the asset and is recognized in the Statement of Profit and Loss.
1.16 Impairment of Tangible and Intangible Assets
Tangible and intangible assets are reviewed at each balance sheet date for impairment. In case events and circumstances indicate any impairment, recoverable amount of assets is determined. An impairment loss is recognized in the statement of profit and loss, whenever the carrying amount of assets either belonging to Cash Generating Unit (CGU) or otherwise exceeds recoverable amount. The recoverable amount is the higher of assetsâ fair value less cost of disposal and its value in use. In assessing value in use, the estimated future cash flows from the use of the assets are discounted to their present value at appropriate rate.
Impairment losses recognized earlier may no longer exist or may have come down. Based on such assessment at each reporting period the impairment loss is reversed and recognized in the Statement of Profit and Loss. In such cases the carrying amount of the asset is increased to the lower of its recoverable amount and the carrying amount that have been determined, net of depreciation, had no impairment loss been recognized for the asset in prior years.
1.17 Employee benefit plans:
Employee benefits include provided fund, superannuation fund, employeeâs state insurance scheme, gratuity and compensated absences.
Post-employment obligations: Defined contribution plans:
Contributions in respect of Employees Provident Fund and Pension Fund which are defined contribution schemes, are made to a fund administered and managed by the Government of lndia and are charged as an expense based on the amount of contribution required to be made and when service are rendered by the employees.
Contributions under the superannuation plan which is a defined contribution scheme, are made to a fund administered and managed by the Life Insurance Corporation of India and are charged as an expense based on the amount of contribution required to be made and when services are rendered by the employees.
Defined benefit plans Gratuity:
The Company accounts for its liability towards Gratuity based on actuarial valuation made by an independent actuary as at the balance sheet date using projected unit credit method. The liability recognised in the balance sheet in respect of the gratuity plan is the present value of the defined benefit obligation at the end of the reporting period less the fair value of the plan assets.
The present value of the defined benefit obligation is determined by discounting the estimated future cash outflows by reference to market yields at the end of the reporting period on government bonds that have terms approximating to the terms of the related obligation. The net interest cost is calculated by applying the discount rate to the net balance of the defined obligation and the fair value of plan assets. This cost is included in the employee benefit expense in the statement of profit and loss. Remeasurement gains and losses arising from experience adjustments and changes in actuarial assumptions are recognised in the period in which they occur, directly in other comprehensive income. Changes in the present value of the defined benefit obligation resulting from plan amendments or curtailments are recognised immediately in the statement of profit and loss as past service cost.
Compensated absences:
The employees of the Company are entitled to compensated absences. The employees can carry~forward a portion of the unutilised accrued compensated absence and utilise it in future periods or receive cash compensation at retirement or termination of employment for the unutilised accrued compensated absence. The Company records an obligation for compensated absences in the period in which the employee renders the services that increase this entitlement. The Company measures the expected cost of compensated absence based on actuarial valuation made by an independent actuary as at the balance sheet date on projected unit credit method.
Other short-term employee benefits:
Other Short-term employee benefits, including performance incentives expected to be paid in exchange for the services rendered by employees are recognised during the period when the employee renders service.
1.18 Financial instruments
A. initial recognition:
Financial assets and financial liabilities are recognised when a Company entity becomes a party to the contractual provisions of the instruments. Financial assets and financial liabilities are initially measured at fair value. Transaction costs that are directly attributable to the acquisition or issue of financial assets and financial liabilities (other than financial assets and financial liabilities at fair value through profit or loss) are added to or deducted from the fair value of the financial asset or financial liabilities, as appropriate, on initial recognition. Transaction costs directly attributable to the acquisition of financial assets or liabilities at fair value through profit or loss are recognized immediately in profit or loss.
B. Subsequent measurement:
a. Non-derivative financial instruments:
- Financial assets carried at amortised cost: A financial asset is subsequently measured at amortised cost if it is held within a business model whose objective is to hold the asset in order to collect contractual cash flows and the contractual terms of the financial asset give rise on specified dates to cash flows that are solely payments of principal and interest on the principal amount outstanding.
- Financial assets at fair value through other comprehensive income: A financial asset is subsequently measured at fair value through other comprehensive income if it is held within a business model whose objective is achieved by both collecting contractual cash flows and selling financial assets and the contractual terms of the financial asset give rise on specified dates to cash flows that are solely payments of principal and interest on the principal amount outstanding.
- Financial assets at fair value through profit or loss: A financial asset which is not classified in any of the above categories are subsequently fair valued through profit or loss.
- Financial liabilities: Financial liabilities are subsequently carried at amortized cost using the effective interest method, except for contingent consideration recognized in a business combination which is subsequently measured at fair value through profit and loss. For trade and other payables maturing within one year from the Balance Sheet date, the carrying amounts approximate fair value due to the short maturity of these instruments.
- Investment in subsidiaries: investment in subsidiaries is carried at cost in the separate financial statements
b. Effective interest method:
The effective interest method is a method of calculating the amortised cost of a debt instrument and of allocating interest income over the relevant period. The effective interest rate is the rate that exactly discounts estimated future cash receipts (including all fees and points paid or received that form an integral part of the effective interest rate, transaction costs and other premiums or discounts) through the expected life of the debt instrument, or, where appropriate, a shorter period, to the net carrying amount on initial recognition.
lncome is recognised on an effective interest basis for debt instruments other than those financial assets classified as at FVTPL. Interest income is recognised in profit or loss and is included in the âOther incomeâ line item.
c. Derivative financial instruments:
The Company enters into derivative financial instruments to manage its exposure to foreign exchange rate risks, including foreign exchange forward contracts.
Derivatives are initially recognised at fair value at the date the derivative contracts are entered into and are subsequently remeasured to their fair value at the end of each reporting period. The resulting gain or loss is recognised in profit or loss immediately unless the derivative is designated and effective as a hedging instrument, in which event the timing of the recognition in profit or loss depends on the nature of the hedging relationship and the nature of the hedged item.
d. De-recognition of financial assets and liabilities Financial assets:
The Company de-recognizes a financial asset when the contractual rights to the cash flows from the asset expire, or when it transfers the financial asset and substantially all the risks and rewards of ownership of the asset to another party. If the Company retains substantially all the risks and rewards of ownership of a transferred financial asset, the Company continues to recognize the financial asset and also recognizes a collateralized borrowing for the proceeds received.
On de-recognition of a financial asset in its entirety, the difference between the assetâs carrying amount and the sum of the consideration received and receivable and the cumulative gain or loss that had been recognised in other comprehensive income and accumulated in equity is recognised in profit or loss if such gain or loss would have otherwise been recognised in profit or loss on disposal of that financial asset.
Financial liabilities:
The Company de-recognizes financial liabilities when, and only when, the Companyâs obligations are discharged, cancelled or have expired. The difference between the carrying amount of the financial liability derecognized and the consideration paid and payable is recognised in profit or loss.
e. Foreign exchange gains and losses:
- For foreign currency denominated financial assets measured at amortised cost and FVTPL, the exchange differences are recognised in profit or loss except for those which are designated as hedging instruments in a hedging relationship.
- Changes in the carrying amount of investments in equity instruments at FVTOCI relating to changes in foreign currency rates are recognised in other comprehensive income.
- For the purposes of recognizing foreign exchange gains and losses, FVTOCI debt instruments are treated as financial assets measured at amortised cost. Thus, the exchange differences on the amortised cost are recognised in profit or loss and other changes in the fair value of FVTOCI financial assets are recognised in other comprehensive income.
- For financial liabilities that are denominated in a foreign currency and are measured at amortised cost at the end of each reporting period, the foreign exchange gains and losses are determined based on the amortised cost of the instruments and are recognised in the statement of profit and loss.
- The fair value of financial liabilities denominated in a foreign currency is determined in that foreign currency and translated at the spot rate at the end of the reporting period. For financial liabilities that are measured at FVTPL, the foreign exchange component forms part of the fair value gains or losses and is recognised in profit or loss.
1.19 Determination of fair values:
In determining the fair value of its financial instruments, the Company uses a variety of methods and assumptions that are based on market conditions and risks existing at each reporting date. The methods used to determine fair value include discounted cash flow analysis, available quoted market prices and dealer quotes. All methods of assessing fair value result in general approximation of value, and such value may never actually be realized.
1.20 Impairment of assets
a. Financial assets:
The Company recognizes loss allowances using the expected credit loss (ECL) model for the financial assets which are not fair valued through profit or loss. Loss allowance for trade receivables with no significant financing component is measured at an amount equal to lifetime ECL. For all other financial assets, expected credit losses are measured at an amount equal to the 12-month ECL, unless there has been a significant increase in credit risk from initial recognition in which case those are measured at lifetime ECL. The amount of expected credit losses (or reversal) that is required to adjust the loss allowance at the reporting date to the amount that is required to be recognised is recognized as an impairment gain or loss in profit or loss.
For trade receivables only, the Company applies the simplified approach permitted by Ind AS 109 Financial Instruments, which requires expected lifetime losses to be recognised from initial recognition of the receivables. As a practical expedient, the Company uses a provision matrix to determine impairment loss of its trade receivables. The provision matrix is based on its historically observed default rates over the expected life of the trade receivable and is adjusted for forward looking estimates. The ECL loss allowance (or reversal) during the year is recognised in the statement of profit and loss.
b. Non-financial assets:
Intangible assets, intangible assets under development and property, plant and equipment
Intangible assets, intangible assets under development and preperty, plant and equipment are evaluated for recoverability whenever events or changes in circumstances indicate that their carrying amounts may not be recoverable. For the purpose of impairment testing, the recoverable amount (i.e. the higher of the fair value less cost to sell and the value-in-use) is determined on an individual asset basis unless the asset does not generate cash flows that are largely independent of those from other assets. In such cases, the recoverable amount is determined for the CGU to which the asset belongs. Intangible assets under development are tested for impairment annually.
if such assets are considered to be impaired, the impairment to be recognized in the Statement of Profit and Loss is measured by the amount by which the carrying value of the asset exceeds the estimated recoverable amount of the asset. An impairment loss is reversed in the statement of profit and loss if there has been a change in the estimates used to determine the recoverable amount. The carrying amount of the asset is increased to its revised recoverable amount, provided that this amount does not exceed the carrying amount that would have been determined (net of any accumulated amortization or depreciation) had no impairment loss been recognized for the asset in prior years.
c. Non-current Investments:
At each balance sheet date, the Company assesses whether there is any indication that an investment may be impaired. If any such indication exists, the Company estimates the recoverable amount. If the carrying amount of the investment exceeds its estimated recoverable amount, an impairment loss is recognised in the Statement of Profit and Loss to the extent the carrying amount exceeds recoverable amount. The recoverable amount is the higher of an investmentâs fair value less costs of disposal and value in use.
1.21 Government Grants
Government grants are not recognised until there is reasonable assurance that the Company will comply with the conditions attached to them and that the grants will be received. Government grants are recognised in the Statement of Profit and Loss on a systematic basis over the periods in which the Company recognises as expenses the related costs for which the grants are intended to compensate.
The benefit of a government loan at a below-market rate of interest is treated as a government grant, measured as the difference between proceeds received and the fair value of the loan based on prevailing market interest rates.
1.22 Recent accounting pronouncements Standards issued but not yet effective:
In March 2018, The Ministry of Corporate Affairs issued the Companies (lndian Accounting Standards) Amendment Rules, 2018 notifying Ind AS 115 Revenue From Contracts with Customers and amendments to ind AS 21 - The Effects of changes in Foreign Exchange Rates, applicable for annual periods beginning on or after April 01, 2018.
Ind AS 115 - Revenue from Contracts with Customers:
Ind AS 115 establishes a single comprehensive model for entities to use in accounting for revenue arising from contracts with customers. Ind AS 115 will supersede the current revenue recognition standard IND AS 18 - Revenue, ins AS 11 ~ Construction Contracts when it becomes effective.
The core principle of Ind AS 115 is that an entity should recognise revenue to depict the transfer of promised goods or services to customers in an amount that reflects the consideration to which the entity expects to be entitled in exchange for those goods or services, based on the five step approach as defined in this standard.
Under this standard, an entity recognises revenue when (or as) a performance obligation is satisfied, i.e. when âcontrolâ of the goods or services underlying the particular performance obligation is transferred to the customer.
The company is evaluating the impact of this amendment on its Financial Statements.
lnd AS 21 - The Effect of Changes in Foreign Exchange Rates
The amendment clarifies on the accounting of transactions that include the receipt or payment of advance consideration in a foreign currency. The appendix explains that the date of the transaction, for the purpose of determining the exchange rate, is the date of initial recognition of the non-monetary prepayment asset or deferred income liability. If there are multiple payments or receipts in advance, a date of transaction is established for each payment or receipt.
The company is evaluating the impact of this amendment on its Financial Statements.

Pennar Industries Limited is a multi-location, multi-product company manufacturing Cold Rolled Steel Strips, Precision Tubes, Cold Rolled Formed Sections, Electro Static Precipitators, Profiles, Railway Wagons and Coach Components, Press Steel Components and Road Safety Systems. Pennar Industries Limited has manufacturing facilities at Patancheru and Isnapur ( Telangana), Chennai and Hosur (Tamil Nadu) Tarapur(Maharashtra).
NOTE - 2. SIGNIFICANT ACCOUNTING POLICIES AND PRACTICES 2.1 Accounting Conventions :
The financial statements of the Company have been prepared in accordance with the Generally Accepted Accounting Principles in India (Indian GAAP) to comply with the Accounting Standards notified under Section 133 of the Companies Act, 2013, read with Rule 7 of the Companies (Accounts) Rules, 2014 and the relevant provisions of the Companies Act, 2013 as applicable. The financial statements have been prepared on accrual basis under the historical cost convention. The accounting policies adopted in the preparation of the financial statements are consistent with those followed in the previous year.
2.2 Use of Estimates:
The preparation of the financial statements requires the Management to make estimates and assumptions considered in the reported amounts of assets and liabilities ( including contingent liabilities ) as of the date of the financial statements and the reported income and expenses during the reporting period like provision for employee benefits, provision for doubtful debts/ advances/contingencies, allowances for slow/non moving inventories, useful lives of fixed assets, provision for taxation, etc. Management believes that the estimates used in the preparation of the financial statements are prudent and reasonable. Future results may vary from these estimates.
2.3 Inventories:
Inventories have been valued as under:
i) Raw materials, stores and spares and traded goods have been valued at cost. Cost includes freight, taxes and duties and is net of credit under VAT and CENVAT scheme, where applicable.
ii) Due allowance is made for slow / non moving items, based on Management estimates
iii) Finished goods and work-in-progress have been valued at cost or net realizable value whichever is lower. Cost includes all direct costs and applicable production overheads to bring the goods to the present location and condition.
iv) Excise duty on closing stock of finished goods has been provided in the accounts and considered for valuation of closing stock. A corresponding liability is created for the same amount.
2.4 Cash and Cash equivalents (for purposes of Cash Flow Statement):
Cash comprises of cash on hand, amount in current accounts and deposit accounts.
Cash flows are reported using the indirect method, whereby profit / (loss) before tax is adjusted for the effects of transactions of non-cash nature and any deferrals or accruals of past or future cash receipts or payments. The cash flows from operating, investing and financing activities of the Company are segregated based on the available information.
2.5 Depreciation and Amortization:
Depreciable amount for assets is the cost of an asset, or other amount substituted for cost, less its estimated residual value. Depreciation on tangible fixed assets has been provided on the straight-line method as per the useful life prescribed in Schedule II to the Companies Act, 2013
Depreciation on the additional value due to revaluation has been charged to the Revaluation Reserve account.
The estimated useful life of the intangible assets and the amortization period are reviewed at the end of each financial year and the amortization method is revised to affect the changed pattern.
2.6 Revenue Recognition:
Revenue from the sale of goods is recognized when the significant risks and rewards of ownership have been transferred to the buyer.
Revenue from Works Contracts is recognized by reference to the completion of the contract activity at the reporting date, where the contract activity extended beyond the reporting date, on the basis of percentage of completion method.
Dividend income on investments is accounted for when the right to receive the payment is established.
2.7 Expenditure:
Expenses are accounted on accrual basis and provision is made for all known losses and liabilities.
2.8 Tangible Fixed Assets:
Fixed Assets are stated at cost of acquisition as reduced by accumulated depreciation. All costs including financial costs up to the date of commissioning and attributable to the fixed assets are capitalized apart from taxes, freight and other incidental expenses related to the acquisition and installation of the respective fixed assets and excludes duties and taxes to the extent recoverable from tax authorities.
Fixed Assets which are revalued are stated at the amounts revalued as reduced by the depreciation.
2.9 Intangible assets:
Intangible assets are carried at cost less accumulated amortization and impairment losses, if any. The cost of an intangible asset comprises its purchase price, including any import duties and other taxes (other than those subsequently recoverable from the taxing authorities), and any directly attributable expenditure on making the asset ready for its intended use and net of any trade discounts and rebates. Subsequent expenditure on an intangible asset after its purchase / completion is recognized as an expense when incurred unless it is probable that such expenditure will enable the asset to generate future economic benefits in excess of its originally assessed standards of performance and such expenditure can be measured and attributed to the asset reliably, in which case such expenditure is added to the cost of the asset.
2.10 Foreign Exchange Transactions:
Initial Recognition
Transactions in foreign currencies entered into by the Company are accounted at the exchange rates prevailing on the date of the transaction or at rates that closely approximate the rate at the date of the transaction.
Measurement of foreign currency monetary items at the Balance Sheet date
Foreign currency monetary items (other than derivative contracts) of the Company at the Balance Sheet date are restated at the year-end rates.
Treatment of exchange differences
Exchange differences arising on settlement / restatement of short-term foreign currency monetary assets and liabilities of the Company are recognized as income or expense in the Statement of Profit and Loss.
2.11 Government Grants and Subsidies
Government grants and subsidies are recognized when there is a reasonable assurance that the company will comply with the conditions attached to them and the grants/subsidies will be received.
Income from sales tax and power incentives are recognized on accrual basis when the right to receive the credit is established and there is no significant uncertainty regarding the ultimate collection.
2.12 Investments
Long term Investments are stated at cost. Provision, if any, is made for permanent diminution in the value of investments. Current investments are stated at lower of cost or market value.
2.13 Employee Benefits:
a) Short Term Employee Benefits
All employee benefits payable wholly within twelve months of rendering the service are classified as short term employee benefits. Benefits such as salaries, wages and short term compensated absences etc. are recognized in the period in which the employee renders the related service.
b) Long Term Employee Benefits Defined Contribution Plan
The Company makes contribution in respect of selected employees to a Superannuation Fund administered by trustees and managed by Life Insurance Corporation of India. The Company has no liability for future Superannuation Fund benefits other than its annual contribution and recognizes such contributions as an expense in the year incurred.
Defined Benefit Plans
The Company makes annual contribution to a Gratuity Fund administered by trustees and managed by LIC. The Company accounts its liability for future gratuity benefits based on actuarial valuation, as at the Balance Sheet date, determined every year by LIC using the Projected Unit Credit method. Actuarial gains / losses are immediately recognized in the Statement of Profit and Loss.
In respect of Provident Fund and Pension Fund, Contributions are made by the Company in accordance with the relevant rules and fully charged off to Statement of Profit and Loss.
The company provides for leave encashment based on valuations, as at the balance sheet date, made by independent actuaries.
2.14 Earnings Per Share
Basic earnings per share is computed by dividing the profit / (loss) after tax (including the post tax effect of extraordinary items, if any) by the weighted average number of equity shares outstanding during the year. Diluted earnings per share is computed by dividing the profit / (loss) after tax (including the post tax effect of extraordinary items, if any) as adjusted for dividend, interest and other charges to expense or income relating to the dilutive potential equity shares, by the weighted average number of equity shares considered for deriving basic earnings per share and the weighted average number of equity shares which could have been issued on the conversion of all dilutive potential equity shares. Potential dilutive equity shares are deemed to be converted as at the beginning of the period, unless they have been issued at a later date. The dilutive potential equity shares are adjusted for the proceeds receivable had the shares been actually issued at fair value (i.e. average market value of the outstanding shares). Dilutive potential equity shares are determined independently for each period presented. The number of equity shares and potentially dilutive equity shares are adjusted for share splits / reverse share splits and bonus shares, as appropriate.
2.15 Taxes on Income
Income tax liability for the year is calculated in accordance with the relevant tax laws and regulations applicable to the Company. Deferred tax is recognized on timing differences, being the differences between taxable income and accounting income that originate in one period and are capable of reversal in one or more subsequent periods.
2.16 Impairment of Assets
The carrying amounts of assets are reviewed at each Balance Sheet date to determine whether there is any indication of impairment of the carrying amount of the Company''s assets. The recoverable amount of such assets is estimated. Where the carrying amount of the asset exceeds the recoverable amount, the impairment loss is recognized in the Statement of profit and loss.
2.17 Provisions, Contingent Liabilities and Contingent Assets
Provisions are recognized only when there is a present obligation as a result of past events and when a reliable estimate of the amount of obligation can be made. Contingent liability is disclosed for (i) Possible obligation which will be confirmed only by future events not wholly within the control of the Company or (ii) Present obligations arising from past events where it is not probable that an outflow of resources will be required to settle the obligation or a reliable estimate of the amount of the obligation cannot be made. Contingent assets are not recognized in the financial statements since this may result in the recognition of income that may never be realized.
5.1 During the Financial Year 2011-12, company has taken term loan from Axis Bank Limited for an amount of Rs 1500 lakhs at an interest rate of 12.25% p.a which is repayable in 16 quarterly installments of Rs 93.75 lakhs each starting from Dec 2012.
During the Financial year 2013-14, Axis Bank Limited sanctioned Term Loan for an amount of Rs.3000 Lakhs at an interest rate of 12.25% p.a. The Term loan is repayble in 16 equal quarterly installments of Rs.187.50 lakhs each starting from March 2015.
The above Term Loans obtained from Axis Bank Limited are secured by pari passu first charge on all immovable properties and second charge on all current assets both present and future and further guaranteed by Sri. Nrupendar Rao, Chairman of the company in his personal capacity.
5.2 During the Current Financial year 2015-16, IFCI Limited has sanctioned Term Loan for an amount of Rs.5000 Lakhs at an interest rate of 12.45% p.a. The Term loan is repayable in 16 equal quarterly installments of Rs.312.50 lakhs each starting from April 2017.
The above Term Loan obtained from IFCI Bank is secured by pari-passu first charge on all immovable properties by deposit of title deeds both present and future and further guaranteed by Mr. Aditya N Rao, Vice Chairman & Managing Director of the company in his personal capacity.
5.3 During the Financial Year 2013-14 the company has obtained vehicle loans for an amount of Rs 102 lakhs from Kotak Mahindra Prime Ltd at interest rate of 10.07 % p.a. The said loans are repayable in 60 equal monthly installments. The said loans are secured by way of hypothecation of same vehicles.

The carrying amounts of assets are reviewed at each Balance Sheet date
to determine whether there is any indication of impairment of the
carrying amount of the Company's assets. The recoverable amount of such

1. Accounting Conventions:
The financial statements have been prepared under the historical cost
conventions in accordance with the generally accepted accounting
principles in India including the Accounting Standards notified by the
Government of India and issued by the Institute of Chartered
Accountants of India, as applicable, and the provisions of the
Companies Act, 1956 as adopted consistently by the Company. All income
and expenditure having a material bearing on the financial statements
are recognized on accrual basis.
2) Use of Estimates:
The preparation of the financial statements requires the Management to
make estimates and assumptions considered in the reported amounts of
assets and liabilities ( including contingent liabilities ) as of the
date of the financial statements and the reported income and expenses
during the reporting period like provision for employee benefits,
provision for doubtful debts/advances/contingencies, allowances for
slow/non moving inventories, useful lives of fixed assets, provision
for taxation, etc. Management believes that the estimates used in the
preparation of the financial statements are prudent and reasonable.
Future results may vary from these estimates.
3) Inventories:
Inventories have been valued as under:
i) Raw materials, stores and spares and traded goods have been valued
at cost. Cost includes freight, taxes and duties and is net of credit
under VAT and CENVAT scheme, where applicable.
ii) Due allowance is made for slow/non moving items, based on
Management estimates
iii) Finished goods and work-in-progress have been valued at cost or
net realizable value whichever is lower. Cost includes all direct
costs and applicable production overheads to bring the goods to the
present location and condition.
iv) Excise duty on closing stock of finished goods has been provided in
the accounts and considered for valuation of closing stock. A
corresponding liability is created for the same amount.
4) Cash and Cash equivalents (for purposes of Cash Flow Statement):
Cash comprises of cash on hand, amount in current accounts and deposit
accounts.
Cash flows are reported using the indirect method, whereby
profit/(loss) before tax is adjusted for the effects of transactions of
non-cash nature and any deferrals or accruals of past or future cash
receipts or payments. The cash flows from operating, investing and
financing activities of the Company are segregated based on the
available information.
5) Depreciation and Amortization:
Depreciation on Fixed Assets including on the additions on account of
revaluation has been provided on a straight-line method at the rates
specified in the Schedule XIV to the Companies Act, 1956.
Depreciation on the additional value due to revaluation has been
charged to the Revaluation Reserve account.
Intangible assets are amortized over the estimated useful life as
follows:
Licence fee - 6 years (3 years remaining as on Balance Sheet Date)
The estimated useful life of the intangible assets and the amortization
period are reviewed at the end of each financial year and the
amortization method is revised to effect the changed pattern.
6) Revenue Recognition
Revenue from the sale of goods is recognized when the significant risks
and rewards of ownership have been transferred to the buyer.
Revenue from Works Contracts is recognized by reference to the
completion of the contract activity at the reporting date, where the
contract activity extended beyond the reporting date, on the basis of
percentage of completion method.
Dividend income on investments is accounted for when the right to
receive the payment is established.
7) Expenditure:
Expenses are accounted on accrual basis and provision is made for all
known losses and liabilities.

Fixed Assets are stated at cost of acquisition as reduced by
accumulated depreciation. All costs including financial costs up to the
date of commissioning and attributable to the fixed assets are
capitalized apart from taxes, freight and other incidental expenses

assets and excludes duties and taxes to the extent recoverable from tax
authorities.
Fixed Assets which are revalued are stated at the amounts revalued as
reduced by the depreciation.
9) Intangible assets:
Intangible assets are carried at cost less accumulated amortisation and
impairment losses, if any. The cost of an intangible asset comprises
its purchase price, including any import duties and other taxes (other
than those subsequently recoverable from the taxing authorities), and
any directly attributable expenditure on making the asset ready for its
intended use and net of any trade discounts and rebates. Subsequent
expenditure on an intangible asset after its purchase/completion is
recognised as an expense when incurred unless it is probable that such
expenditure will enable the asset to generate future economic benefits
in excess of its originally assessed standards of performance and such
expenditure can be measured and attributed to the asset reliably, in
which case such expenditure is added to the cost of the asset.
10) Foreign Exchange Transactions:
Initial Recognition
Transactions in foreign currencies entered into by the Company are
accounted at the exchange rates prevailing on the date of the
transaction or at rates that closely approximate the rate at the date
of the transaction.
Measurement of foreign currency monetary items at the Balance Sheet
date
Foreign currency monetary items (other than derivative contracts) of
the Company at the Balance Sheet date are restated at the year-end
rates.
Treatment of exchange differences
Exchange differences arising on settlement/restatement of short-term
foreign currency monetary assets and liabilities of the Company are
recognised as income or expense in the Statement of Profit and Loss.
11) Investments
Long term Investments are stated at cost. Provision, if any, is made
for permanent diminution in the value of investments. Current
investments are stated at lower of cost or market value.
12) Employee Benefits:
a) Short Term Employee Benefits
All employee benefits payable wholly within twelve months of rendering
the service are classified as short term employee benefits. Benefits
such as salaries, wages and short term compensated absences etc. are
recognized in the period in which the employee renders the related
service.
b) Long Term Employee Benefits Defined Contribution Plan
The Company makes contribution in respect of selected employees to a
Superannuation Fund administered by trustees and managed by Life
Insurance Corporation of India. The Company has no liability for future
Superannuation Fund benefits other than its annual contribution and
recognizes such contributions as an expense in the year incurred.
Defined Benefit Plans
The Company makes annual contribution to a Gratuity Fund administered
by trustees and managed by LIC. The Company accounts its liability for
future gratuity benefits based on actuarial valuation, as at the
Balance Sheet date, determined every year by LIC using the Projected
Unit Credit method. Actuarial gains/ losses are immediately recognized
in the Statement of Profit and Loss.
In respect of Provident Fund and Pension Fund, Contributions are made
by the Company in accordance with the relevant rules and fully charged
off to Statement of Profit and Loss.
The company provides for leave encashment based on valuations, as at
the balance sheet date, made by independent actuaries.
13) Basic earnings per share is computed by dividing the profit/(loss)
after tax (including the post tax effect of extraordinary items, if
any) by the weighted average number of equity shares outstanding during
the year. Diluted earnings per share is computed by dividing the
profit/(loss) after tax (including the post tax effect of extraordinary
items, if any) as adjusted for dividend, interest and other charges to
expense or income relating to the dilutive potential equity shares, by
the weighted average number of equity shares considered for deriving
basic earnings per share and the weighted average number of equity
shares which could have been issued on the conversion of all dilutive
potential equity shares. Potential equity shares are deemed to be
dilutive only if their conversion to equity shares would decrease the
net profit per share from continuing ordinary operations. Potential

receivable had the shares been actually issued at fair value (i.e.
average market value of the outstanding shares). Dilutive potential
equity shares are determined independently for each period presented.
The number of equity shares and potentially dilutive equity shares are
adjusted for share splits/reverse share splits and bonus shares, as
appropriate.
14) Taxes on Income
Income tax liability for the year is calculated in accordance with the
relevant tax laws and regulations applicable to the Company. Deferred
tax is recognized on timing differences, being the differences between
taxable income and accounting income that originate in one period and

balance of liability.

The Sales tax collected on domestic sales of Company's products from
eligible units is treated as interest free sales tax loan from Govt. of
A P in accordance with the State Govt. incentive Scheme.
