Women's Next Loungeries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on September 05, 2015., inter alia, have considered and approved the following:

1. Approved the circular resolution passed on July 13, 2015 for resignation of Ms. Alka Premkumar Gupta from the post of Company Secretary of the Company.

2. Approved the resignation of Mr. Manoj Katarmal from the post of (one level below the KMP) of the company.

3. Approval for the re- appointment of Statutory Auditors.

4. Approved for the re- appointment of Internal Auditors.

5. Approved for the re- appointment of secretarial Auditors

6. Re-Constituting existing Managing Director, Company Secretary & CFO in line with the section 203 of the Companies Act 2013 read with the Companies (Appointment and Remuneration of Managerial Personnel) Rule :

- Following officials of the company be and are hereby appointed as Key Managerial Personnel of the Company.

Mr. Bhavesh Tulsidas Bhanushali, Managing Director & Chairman
Mr. Anil H. Sinha, Chief Financial Officer.

7. Approved the Compliance Certificate for the year ended March 31, 2015.

8. Approved by the Board of Directors to Constitute Risk Management Committee.
