The recent allotment followed the conversion of warrants issued on a preferential basis. These warrants were held by members of the promoter group. Sudarshan Pharma Industries Ltd approved the allotment through its Warrants Committee.

The committee met on June 12, 2026, and cleared the conversion of 9 lakh warrants. These warrants were converted into 90 lakh fully paid-up equity shares. The move brought ₹11.46 crore into the company.

The company said the allotment would add strength to its capital base. It also increased the promoter group's stake in Sudarshan Pharma. After the allotment, promoters and the promoter group hold 58.93%.

Non-promoter shareholders now hold 41.07% of the company. The issued and paid-up share capital stands at ₹24.96 crore. This includes 24.96 crore equity shares with a face value of Re 1 each.

The equity shares were issued at ₹16.983 per share. This price included a premium of ₹15.983 per share. The warrants had originally been issued at ₹169.83 each under preferential terms.

Promoters Hemal Vasantrai Mehta and Sachin Vasantrai Mehta carried out the conversion. Each converted 4.5 lakh warrants. Each promoter received 45 lakh equity shares after completing the warrant conversion process.

The promoters paid ₹127.37 for each warrant as the balance amount. This represented 75% of the warrant issue price. The total payment from both warrant holders stood at ₹11.46 crore.
