IDBI Bank Stake Sale To Fairfax

After a comprehensive bidding stage and evaluation, the Cabinet Committee on Economic Affairs (CCEA) has approved Fairfax Financial Holdings-backed Canada Inc as the strategic buyer of IDBI Bank for a whopping Rs 52,878 crore.

Under the deal, a total of 60.72% stake in IDBI Bank will be sold by the LIC India and the government of India. From the total, LIC will offload 30.24%, and the government will sell 30.48%. Post the completion of the deal, LIC and the government's stake in IDBI Bank will be reduced to 15% and 19% respectively.

Why IDBI Bank Is Privatised?

It all started in May 2017, when IDBI Bank was in repeated and dire need for capital infusion by the government. Following which, on May 5, 2017, due to the lender's poor financial health conditions, RBI placed IDBI Bank under the Prompt Corrective Action Framework and imposed several restrictions in view of its non-performing assets and losses incurred by the Bank.

However, after considering the improvement in the Bank's financial health, the RBI later, vide its letter dated 10th March, 2021, lifted the restrictions imposed on the IDBI Bank subject to certain conditions and continuous monitoring.

It was against this backdrop that the Cabinet Committee on Economic Affairs (CCEA) approved strategic restructuring of the IDBI Bank.

As per the Finance Ministry, the decision of the CCEA was implemented through a two-stage, competitive bidding process supported by a multi-layered, collective decision-making mechanism consisting of the Inter-Ministerial Group (IMG), the Core Group of Secretaries on Disinvestment (CGD) and the Alternative Mechanism (AM) consisting of an empowered Group of Cabinet Ministers.

As of June 30, 2026, IDBI Bank's gross NPA stood at Rs 60,896.50 crore, while gross NPA came in at 2.30%.

Is IDBI Bank Stakes Being Sold At Discount?

Identifying the fair value of IDBI Bank's stake sale during bidding was difficult. The initial bids for IDBI Bank began in financial year 2025-26. That time, a reserve price of Rs 94.42 per share was fixed, which was directly and indirectly linked to and influenced by the impacted market price.

The unimpacted counter-factual was not visible at that time, except that the unimpacted pre-EoI price of the IDBI stock was Rs.42.40 per share on the last trading day before the issue of the PIM/EoI on 07.10.2022. In contrast, the impacted price was Rs.108.12 per share on the last trading day before the invitation of initial bids on 08.01.2026. The initial bids fell short of the reserve price arrived at that time and were not approved. When it became known that the initial bids have not succeeded, the impacted stock market price itself corrected, and fell significantly below the discovered bid price of Rs.75 per share, as per the FinMin statement.

Subsequently, to enhance the value of the transaction as far as possible, sealed bids reflecting their best offers were invited from the qualified bidders in the financial year 2026-27.

The stock price of the IDBI Stock was Rs.70.38 per share on the trading day last before the invitation of best offer bids on May 18,2026.

However, the stock market price of IDBI Bank remained volatile and fluctuated both above and below the bid discovered price with a high-low range of Rs.118.38 to Rs.61.01 per share over the valuation period.

Hence, the stock market price was consequently disregarded, as it tended to misalign valuation with the intrinsic value of the enterprise.

Accordingly, the fair market value was determined on the basis of 31st March, 2026 closing accounts of all public sector banks. The average fair valuation was identified to be Rs 75.99 per share. And since the best bid was of Rs 81 per share and above the fair value estimate, Fairfax won the deal.

However, even the Rs 81 per share is currently at a discount compared to the current market price above Rs 83 of IDBI Bank.

IDBI Bank Stake Sale: Will Customers Bank Account Get Impacted?

The change in ownership does not impact your bank account. They remain the same until and unless the new owner decides to add new features or modify the brand image, which could lead to revision in cheque books, debit and credit cards and other IDBI banking products.

For now, there is no such decision made, and hence your bank account will operate as normal. Also, Fairfax will be required to present its credentials to the Reserve Bank of India in accordance with the Fit and Proper Assessment conducted at the EoI stage and submit its roadmap for the compliance of regulatory conditions prescribed therein. Once completed, this will be the largest FDI in the financial sector of our economy so far.

Your money remains in your account. A change in ownership does not, by itself, affect your account balance.
Account number and IFSC: There is no automatic change just because of the sale. Any future changes would be communicated by the bank.
UPI, ATM and debit cards: These should continue to work as usual unless the bank announces specific changes.
FDs, savings accounts and loans: Existing terms do not automatically change merely because a new owner takes over. Any changes would be subject to applicable rules and contractual terms.
KYC and documentation: You generally do not need to redo KYC or submit new documents solely because of the ownership change, unless the bank specifically asks you to.
