The race to find the next Managing Director and Chief Executive Officer (MD & CEO) of HDFC Bank is gaining momentum after Sashidhar Jagdishan decided not to seek another term at the private sector lender. His current tenure is scheduled to end on October 26, 2026.

The bank's board is now speeding up the succession exercise to identify a new leader well before Jagdishan's term comes to an end. The process is being closely watched as the next CEO will inherit a much larger bank following the merger with HDFC Ltd, along with challenges related to margins, deposits, profitability and investor confidence.

In a regulatory filing, HDFC Bank said its board had taken note of Jagdishan's decision and that efforts had been made to convince him to continue. The board has decided to accelerate the succession process so that the next MD & CEO can be appointed before the end of his current term.
The appointment will ultimately require approval from the Reserve Bank of India (RBI). The bank's Nomination and Remuneration Committee is expected to evaluate potential candidates before the board recommends the final names to the regulator.
The bank could consider both internal and external candidates as part of the process. Executive search firms may also assist the board in identifying suitable candidates.

Kaizad Bharucha, HDFC Bank's Deputy MD, is among the internal names that could be considered for the top position. Bharucha has spent decades with HDFC Bank, having joined the lender in 1995. He became part of the bank's board in 2014 and was appointed Deputy Managing Director in April 2023. His long experience gives him a detailed understanding of the bank's operations, customers and business strategy.
Private sector banks have a 15-year limit on the tenure of a whole-time director. Since Bharucha's whole-time director tenure dates back to 2014, the limit could become relevant around 2029.
If he takes over as CEO towards the end of 2026, he may therefore have less than three years in the role under the existing tenure framework. This could be an important factor for the board while deciding whether to promote an internal candidate or choose someone from outside.

The bank is also considering candidates from outside its existing leadership team. The possible pool includes senior executives from other large private sector banks as well as current or former leaders of public sector lenders.

On the other hand, an internal candidate could offer greater continuity and a better understanding of the bank's existing systems and culture. The RBI's assessment will also play an important role in determining the final choice.
