On October 28, Tata Trusts will vote on Mehli Mistry's reappointment, dividing trustees between supporters and opponents. This decision is critical for governance within Tata Sons.
On October 28, Tata Trusts will decide whether to reappoint Mehli Mistry as a trustee for the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust. These trusts collectively hold a 51% stake in Tata Sons. The decision has caused a divide within the Trusts, with Noel Tata, Venu Srinivasan, and Vijay Singh opposing Mistry's reappointment. Meanwhile, Darius Khambata, Pramit Jhaveri, and Jehangir HC Jehangir support him.

The CEO of the trusts, Siddharth Sharma, proposed the resolution for Mistry's reappointment. Mistry is a long-time confidant of Ratan Tata and has added to the tension by conditionally approving Srinivasan's reappointment. This move has sparked legal discussions within the Trusts.
Key Figures in Tata Trusts
Noel Tata leads Tata Trusts after his half-brother Ratan Tata passed away. He is known for his quiet leadership style and focus on international and retail ventures. Over four decades, he has led both Trent and Tata International. Trent is now a significant retail entity valued at Rs 2.85 lakh crore. Noel is married to Aloo Mistry from the Shapoorji Pallonji Group family.
Vijay Singh joined the Tata leadership circle in 2013 as the first non-family trustee. His appointment marked a shift towards professional governance under Ratan Tata's guidance. Singh had an extensive career in the Indian Administrative Service (IAS), holding various state and central government positions before joining Tata Trusts.
Darius Khambata is a respected legal expert who supports Mehli Mistry against Noel Tata on governance issues within Tata Trusts. A senior advocate at Bombay High Court, Khambata has argued landmark cases like the Yes Bank board dispute. Appointed trustee in 2015, he also serves as executor of Ratan Tata's will.
Trustees' Backgrounds
Venu Srinivasan is known for opposing Mehli Mistry's nomination after Vijay Singh's exit from Tata Sons. As chairman emeritus of TVS Motor Company and Sundaram Clayton, Srinivasan brings corporate acumen to his role at Tata Trusts. He joined the board just before Cyrus Mistry was ousted in 2016.
Mehli Mistry holds a contentious position within Tata Trusts as trustee of SDTT and SRTT since 2022. A close ally of Ratan Tata, he plays a significant role in internal power dynamics at the trusts. Despite accusations of benefiting from contracts with Tata Power—claims he denies—Mistry remains influential.
Pramit Jhaveri adds financial discipline to the trusts with his background as former CEO of Citi India. An alumnus of University of Rochester’s Simon Business School, he led Citibank India through regulatory changes before retiring to join several company boards.
Influential Roles
Jehangir Hirji C Jehangir continues his family's legacy in healthcare and philanthropy as trustee of Sir Ratan Tata Trust. He chairs Cowasjee Jehangir Trading Co and Jehangir Clinical Development Centre while playing an influential role in India's social-enterprise space.
The decision on Mehli Mistry's reappointment will significantly impact governance within these trusts that control two-thirds of Tata Sons—the holding company for India's largest conglomerate.
