NHC Foods shares touched Rs 1.75 during Tuesday's session, marking an intraday gain of around 5%. The stock has seen significant volatility in recent months, with its 52-week high at Rs 2.84 on September 4, 2026, while its 52-week low was Rs 0.59 in March.

Despite Tuesday's rebound, the stock has remained under pressure over the shorter term. NHC Foods shares are down around 13% over the past week and 23% over one month. On a longer time frame, however, the stock has gained around 64% in three months and 159% in six months, while its one-year gain stands at about 64%.

Given its low trading price, NHC Foods is often viewed as a penny stock by market participants. However, the absolute price of a share does not by itself determine whether a stock is cheap or expensive. The immediate corporate trigger behind the stock's focus is the increase in NHC Foods' authorised share capital. Shareholders approved the proposal at the company's 34th Annual General Meeting held on September 25, 2026. The approval was disclosed to the exchanges on September 27.

Under the approved change, the company's authorised share capital has increased from Rs 100 crore, divided into 100 crore equity shares of Re 1 each, to Rs 2,000 crore, divided into 2,000 crore equity shares of Re 1 each. This represents a 20-fold increase in the authorised capital.

The company's AGM documents state that the increase required shareholder approval under the Companies Act, 2013 and also involved an alteration to the company's Memorandum of Association.

What Does 20-Fold Increase In Authorised Capital Mean?

Authorised share capital is the maximum amount of equity share capital that a company is permitted to issue under its constitutional documents. Increasing this limit gives NHC Foods considerably more headroom to issue shares in the future.

However, the Rs 2,000 crore authorised capital should not be interpreted as money already raised by the company. The approval simply increases the ceiling up to which the company can issue equity, subject to the relevant approvals and terms of any future transaction.

A higher authorised capital can provide flexibility for potential fundraising, equity-linked transactions or other corporate actions in the future. But the capital increase itself does not confirm that NHC Foods is immediately issuing shares worth Rs 1,900 crore.
