PTC India Announces Leadership Changes as Power Ministry Seeks NTPC as Sole Promoter

PTC India has received a directive from the power ministry to restructure its leadership, making NTPC the sole promoter. This includes changes in board composition and management roles.

PTC India, a power trading solutions provider, announced on Friday that it has received a directive from the Ministry of Power. The directive calls for changes in its leadership and board restructuring to establish NTPC as the sole promoter. This was disclosed in an exchange filing by PTC India, referencing an office memorandum dated 16 January 2026.

PTC India Leadership Changes for NTPC Promotion

The memorandum outlines that NTPC is set to become the exclusive promoter of PTC. Consequently, the other three promoters—PFC, POWERGRID, and NHPC—are expected to withdraw their nominee directors from PTC's board and relinquish their rights. This move is part of a broader restructuring plan.

Leadership Restructuring at PTC India

The Ministry of Power has also proposed dividing the role of PTC India's CMD into two distinct positions: a non-executive chairman and an executive managing director. Under this new structure, CMD NTPC will serve as the Non-Executive Chairman of PTC, while CMD PTC will be redesignated as MD PTC.

Following the withdrawal of nominee directors from central public sector units (CPSUs) and the transfer of management control to NTPC, the ministry may also remove its nominee director from PTC's board. This change aims to streamline governance and align with the new leadership structure.

Amendments and Reclassification

To facilitate these changes, amendments to Article 40A of PTC's Articles of Association will be necessary. Subsequently, PFC, POWERGRID, and NHPC will seek reclassification as non-promoters in accordance with SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.

The Executive Director CP&BD at NTPC has been designated as the nodal officer responsible for coordinating and implementing these changes. This role involves overseeing the transition process to ensure smooth execution of the new arrangements.

This restructuring marks a significant shift in PTC India's governance model. By establishing NTPC as the sole promoter, the company aims to streamline its operations and enhance decision-making processes within its leadership framework.
