Rajnish Wellness Limited (BSE: 541601), a company in the healthcare and wellness space has received a breakthrough acquisition offer from the Thailand-based pharmaceutical behemoth Python Chemical Company. In consideration of negotiating with Rajnish Wellness, the company has offered 1,050 crores or 10.5 billion rupees in the Indian currency to acquire the DavaDiscount and PlayWin brands which are the flagship brands of Rajnish Wellness. The management of Rajnish Wellness has scheduled a board meeting to consider reviewing this offer on the 5th day of November 2022.
The structure deal calls for 800 million rupees on DavaDiscount which is a well-known healthcare retail chain with 400 plus stores in India and 500 million rupees on PlayWin which is a fast-growing brand providing Ayurvedic personal and sexual wellness products. It is envisaged that the two brands will both be acquired by Python Chemical for a total cash consideration of $1.2 million which will include the purchase of the brand assets and employees of the two brands and also while Rajnish Wellness will undertake settlement of existing obligations before the completion of the transaction.

DavaDiscount Acquisition
DavaDiscount is acquired by Rajnish Wellness for Rs 650 crores along with its over 400 company and franchise-owned outlets. This is an important brand for Rajnish Wellness as it enables the company to reach consumers across India for inexpensive healthcare products. According to the agreed plan, the company will also acquire all the assets of DavaDiscount, including mass awareness stores, physical infrastructure, and manpower. Meanwhile, Rajnish Wellness will pay off all obligations owed to the brand before the finalization of the transaction.
With this deal, which also brings strong brand awareness and DavaDiscount's deep market presence, Python Chemical expects to significantly add to its footprint in India's healthcare retail sector. The effort will also add to the number of outlets providing affordable healthcare products by the company.
PlayWin Acquisition
As part of this deal, the Ayurvedic wellness brand belonging to Rajnish Wellness known as PlayWin is said to be worth INR 400 crores. Offering personal and sexual wellness products, PlayWin is performing well in the emerging sector of Ayurveda. The company will purchase the brand along with its product lines, blends, properties, and employees, with the intention to use them to meet the growing need for Ayurvedic products.
The acquisition allows Python Chemical to include the portfolio of PlayWin and it has set its eyes on rapid g growth within the wellness segment. The Indian Ayurvedic sector has seen huge growth and PlayWin's niche into sexual wellness is a lucrative space for Python Chemical as well going forward.
Future Outlook for Rajnish Wellness
Rajnish Wellness was founded in the year 2015 and is in the business of healthcare with products that cut across sexual wellness, personal care and medical care. The company has an active distribution coverage throughout India with a physical presence and an online e-commerce site where its products are available.
