Tata Sons Faces Fresh Governance Questions Over Chandrasekaran Family's TVS Motor Link Emerges

Tata Sons, the holding company at the centre of the Tata Group, is facing another governance-related question just days after its board backed N Chandrasekaran for another five-year term. A business arrangement involving companies linked to Chandrasekaran's family and TVS Motor has now drawn attention because of the role played by Venu Srinivasan, a senior Tata Trusts figure who also sits on the Tata Sons board.

The matter involves Hanno One Warehousing Pvt. Ltd, a company incorporated in March 2025 with Chandrasekaran's wife Lalitha and son Pranav among its directors. A few months after its incorporation, TVS Motor, the listed manufacturer of two- and three-wheelers, leased 17 acres of land in Tamil Nadu's Krishnagiri district to Hanno One for a warehouse project.

The timing and the institutional links are what have brought the arrangement into focus. Srinivasan is chairman-emeritus of TVS Motor, vice-chairman of Tata Trusts and a member of Tata Sons' nomination and remuneration committee, which is involved in reviewing the Tata Sons chairman's performance.

The central issue is whether the business relationship should have been disclosed within the Tata group or to the relevant Tata Trusts authorities, particularly given Srinivasan's role in the process concerning Chandrasekaran's tenure.

Why Tata Sons' Governance Is Back In Focus

On September 17, the Tata Sons board approved Chandrasekaran's reappointment for another five-year term. The decision followed weeks of uncertainty over his future at the group. Tata Trusts, which holds about 66% of Tata Sons, opposed the reappointment, with chairman Noel Tata voting against the proposal.

Chandrasekaran has been chairman of Tata Sons since 2017 and is one of the key figures overseeing the group's diverse businesses, which span automobiles, information technology, steel, consumer products and other sectors.

The latest controversy is separate from the reappointment dispute itself, but the two developments have become connected because Srinivasan was involved in the Tata Sons board process concerning Chandrasekaran.

That makes the question of disclosure particularly relevant: if a senior board member has a separate business connection involving the family of the person whose performance is being assessed, what information should be placed before the relevant board or trustees?

The Company At The Centre: Hanno One Warehousing

Hanno One Warehousing Pvt. Ltd was incorporated on March 10, 2025, according to corporate records reviewed in the matter. Lalitha Chandrasekaran and Pranav Chandrasekaran are listed as directors. Hanno Infra LLP holds 99.99% of Hanno One, while Pranav holds one share directly. Lalitha signed on behalf of Hanno Infra LLP.

The company was set up for a warehousing-related project in Tamil Nadu. Its connection to the Tata Sons story comes from the fact that its directors include members of Chandrasekaran's immediate family.

Hanno One Warehouse Project: What TVS Motor Land Lease Shows

The connection with TVS Motor emerged a few months after Hanno One was incorporated. In June 2025, TVS Motor leased 17 acres of farmland in Uddanapalli village in Krishnagiri district to Hanno One, according to state registration records cited in the matter. The lease was intended for the development of a warehouse project. The financial terms of the lease, including the rent, have not been made public.

TVS Motor is an independently listed company and one of India's major manufacturers of two-wheelers and three-wheelers. The company is part of the TVS group, while Venu Srinivasan remains its chairman-emeritus. The commercial relationship therefore exists between TVS Motor and Hanno One rather than directly between TVS Motor and Tata Sons.
