Tata Sons IPO Updates: RBI Says Tata Group Holding Company Must Go Public If It Remains Upper-Layer NBFC

The Reserve Bank of India (RBI) has reiterated that Tata Sons must list on the stock market if it continues to remain classified as an upper-layer non-banking financial company (NBFC), keeping the spotlight on the future of the Tata Group's principal holding company.

Tata Sons Listing Row: RBI Says Tata Group Holding Company Must Go Public

RBI Governor Sanjay Malhotra said entities classified in the upper layer are required to comply with the central bank's listing norms. The statement comes amid an ongoing dispute over Tata Sons' regulatory status, with Tata Trusts opposing a public listing and the company exploring options to address the RBI's requirements.

Tata Sons IPO Updates

The issue is significant because Tata Sons is the principal holding company of the Tata Group, with interests spanning Tata Consultancy Services (TCS), Tata Motors, Tata Steel, Tata Power and several other businesses. Unlike these listed companies, Tata Sons itself is privately held. A stock market listing would allow the public to buy its shares and would bring the holding company under greater market scrutiny.

Speaking at the NDTV World Summit on Friday, October 23, RBI Governor Malhotra explained that companies classified as upper-layer NBFCs are required to list under the central bank's regulatory framework. Although he did not make a specific ruling on Tata Sons during the discussion, his remarks reinforced the regulatory requirements that apply to the company.

Tata Sons IPO in Focus as RBI Stands Firm on Listing Requirement for Upper-Layer NBFCs

Tata Sons is the holding company of the Tata Group, meaning it owns stakes in several businesses rather than operating like a conventional company that sells products or services directly to consumers.

The RBI classifies certain large holding companies as core investment companies (CICs), a category of NBFCs. These companies primarily hold investments in other companies within their group. Depending on their size, activities and financial connections, they may fall under stricter regulatory requirements.

The RBI's concern is that a holding company can borrow money from banks or raise funds through corporate bonds and other channels, then use those funds in connection with its group businesses. If the holding company encounters financial difficulties, the risks may extend beyond the company itself and affect lenders and other institutions that have provided money.

Tata Sons was classified as an upper-layer NBFC in September 2022. Under the applicable framework, this classification brought a listing requirement, with a three-year compliance period.

Instead of proceeding directly with a public listing, Tata Sons repaid its outstanding debt and applied to surrender its registration as a core investment company in March 2024. The move was intended to help the company qualify for deregistration and potentially avoid the listing requirement.

However, the RBI rejected Tata Sons' application in September 2026 and directed the company to comply with the applicable rules. This has kept the listing question alive, despite the company's efforts to change its regulatory position.
