Transline Technologies IPO: Revenue Surges Over 3 Times In 2 Years, Profit Rises; Check OFS Details, Key Risks

Transline Technologies Limited, a New Delhi-based technology solutions company, is preparing to enter the stock market after receiving observations from the Securities and Exchange Board of India (SEBI) for its proposed initial public offering (IPO). The company provides surveillance cameras, biometric identification systems and IT infrastructure to government departments, public sector undertakings (PSUs) and businesses.

Transline Technologies IPO: SEBI Received, Rs 1.62 Crore Share Sale Planned; Check Risks & More Details

The proposed IPO will involve the sale of up to 1.62 crore existing equity shares by shareholders, without any fresh issue of shares. This means the offering will allow existing investors to sell part of their holdings, but the company will not directly receive money from the sale to fund its business.

Transline Technologies IPO

According to the company's Draft Red Herring Prospectus (DRHP), Transline has reported strong growth in revenue and profit over the past three financial years. However, investors will also need to consider its dependence on a limited number of customers, particularly large institutional clients, before evaluating the offering.

Transline Technologies IPO Issue Size And More

The proposed IPO comprises an offer for sale (OFS) of up to 1,61,91,500 equity shares, with a face value of Rs 2 each. Under an OFS, existing shareholders sell shares they already own to public investors. The money from those sales goes to the selling shareholders, rather than to the company.

The DRHP identifies Amita Gupta, RKG Enterprises Private Limited, Arun Gupta HUF and Rahul Jain as the selling shareholders. The proposed shares are to be listed on the BSE and the National Stock Exchange (NSE). Motilal Oswal Investment Advisors Limited has been appointed as the book-running lead manager, while Bigshare Services Private Limited will act as the registrar to the offer.

Know About Transline Technologies; Financial Performances

Founded in 2001, Transline Technologies provides technology products and services that help organisations manage security, identify people and operate their IT systems. Apart from supplying hardware, Transline has developed its own software products for surveillance and monitoring.

One of these is StorePulse, an AI-powered video analytics platform designed to analyse video footage and provide information such as footfall and customer activity. CamStore compresses CCTV footage to reduce storage requirements and bandwidth consumption, while CheckCam monitors CCTV networks and helps identify technical faults.

Transline's financial performance is one of the important areas prospective investors should examine. Its DRHP shows that revenue from operations increased from Rs 113.97 crore in FY23 to Rs 225.89 crore in FY24 and Rs 371.08 crore in FY25. The company also reported an increase in profit after tax over the same period.

Key Challenges Investors Should Know

While Transline has reported growth in its business, the DRHP also highlights factors investors should consider.

Dependence on major customers: The company's top 10 customers accounted for approximately 80.97% of revenue from operations in FY25. Its largest customer alone contributed 25.53%. A reduction in orders from major customers could therefore affect revenue and business performance.

Project-based revenue: A significant part of the business depends on winning and executing contracts. Delays in receiving orders, completing projects or collecting payments can affect the timing of revenue and cash flow.

Working capital requirements: The company needs funds to purchase equipment, execute projects and meet operating expenses. Higher business activity can increase these funding requirements, and borrowing costs may affect profitability.

Reliance on institutional and government-related business: Large government and institutional contracts can provide substantial business opportunities, but revenue may also depend on tender outcomes, contract terms, project execution and payment schedules.

These risks do not necessarily mean the IPO is unattractive. They indicate areas that prospective investors should examine alongside the company's growth and valuation.
