Adani Enterprises Rights Issue: First Call Details, Record Date and Payment Window for 2026
Adani Enterprises Limited has informed stock exchanges that investors in its partly paid-up rights shares must prepare for the first call money. The Rights Issue Committee has fixed 23 December 2025 as the record date. Holders on this date will be liable to pay the next instalment towards the rights equity share issue.
According to the announced schedule, the payment window for the first call amount is expected between 12 January 2026 and 27 January 2026. This timeframe follows the payment structure outlined earlier in the Letter of Offer dated 12 November 2025, which governs the ongoing rights issue of Adani Enterprises.
Shareholders named on the 23 December 2025 record date will receive a first call notice demanding Rs 450 per rights equity share. This instalment consists of Rs 0.25 towards face value and Rs 449.75 as share premium. The first call represents 25% of the total issue price of Rs 1,800 per rights equity share.
Each rights equity share had already attracted Rs 900 at the application stage, which included a share premium component of Rs 899.50. Under the Letter of Offer, the balance of the issue price is scheduled to be collected through two separate calls. The upcoming first call is the initial part of this remaining amount.

Earlier, on 11 December 2025, Adani Enterprises disclosed that its Rights Issue Committee had approved the allotment of 13,85,01,687 partly paid-up equity shares. These shares carry a face value of Rs 1 each and were issued on a rights basis to eligible shareholders and renouncees, following discussions with the National Stock Exchange of India.
This allotment follows the rights issue framework cleared by the Board of Adani Enterprises at its meetings on 4 November 2025 and 11 November 2025. The issue terms are consistent with the Letter of Offer dated 12 November 2025, which set out eligibility, pricing structure and payment tranches for participating investors.
After the rights allocation, the company’s share capital structure has changed. The paid-up equity capital now includes 13,85,01,687 equity shares with Rs 0.50 paid-up per share and 1,15,41,80,729 fully paid-up equity shares of Rs 1 each. The overall rights issue size stands at about Rs 24,930.30 crore.
