Apollo Micro Systems Limited Partners with Indian Navy to Enhance Defence Technology through MoU

Apollo Micro Systems Limited has allocated 1,21,47,964 equity shares, each valued at Re.1, on November 26, 2025. This follows the conversion of warrants issued earlier on a preferential basis. The allocation stems from 3,80,67,058 warrants issued on June 2, 2025, each convertible into one equity share.

The conversion involved six investors, including promoter group members Mr. Baddam Kanishka Reddy and Mr. Baddam Chanakya Reddy. Whole-Time Director Mr. Addepalli Krishna Sai Kumar and non-promoter investors Mr. Anudeep Adiraju, Mr. Sandeep Kapadia, and Mr. Piyush Bhupendra Gala also participated. The company received Rs 103.86 crore from the warrant exercise.

The conversion has increased the company's paid-up capital to Rs 35.43 crore, comprising 35,43,91,700 equity shares. The newly allotted shares will have equal standing with existing shares. According to SEBI disclosure rules, Apollo Micro Systems Limited confirmed that 2,08,59,246 of the total warrants have been converted so far.

Unexercised warrants will expire after 13 months from their original issuance date. Meanwhile, Apollo Micro Systems Limited has informed exchanges about obtaining a compounding order under Section 441 of the Companies Act, 2013. This relates to a Section 148(6) violation for not filing the cost audit report (Form CRA-4) on time.

The Regional Director (South East Region), Hyderabad issued the compounding order on November 14, 2025. The company received it officially on November 26, 2025. Officers in default were required to pay compounding costs by August 28, 2025. The company clarified that this order does not impact its operations or finances.

Apollo Micro Systems Limited (AMS), known for its defense and aerospace technology expertise, announced a Joint Development Memorandum of Understanding (MoU) with the Indian Navy and IIT-Chennai. The Directorate General of Naval Armament Inspection (DGNAI) leads this collaboration.

The MoU was signed in front of Hon'ble Raksha Mantri Shri Rajnath Singh on November 25 at Swavalamban 2025 in New Delhi. This event underscores the government's focus on "Aatmanirbhar Bharat" (Self-Reliant India) in defense initiatives.

AMS stated that successful project completion under this MoU will aid the Ministry of Defence's self-reliance goals in critical defense technologies. This collaboration aims to address current and future challenges faced by the Armed Forces through indigenous research and development (R&D).
