Mercury EV-Tech AGM 2025 Approves Financials, Board Changes and Lending Powers

Mercury EV-Tech Limited reported that its 39th Annual General Meeting was completed without disruptions at Vadodara on 15 December 2025. Shareholders cleared key resolutions on financial statements, board changes and lending powers. Soon after the AGM, Mercury EV-Tech shares opened at Rs 39.27 on 16 December and moved higher intraday on the BSE.

The AGM considered audited standalone and consolidated accounts for the year ended 31 March 2025. Shareholders also voted on the reappointment of Darshankumar Jitendra Shah as Director, the appointment of Riya Vinodbhai Sharma as Non-Executive Independent Director, and the appointment of SJV & Associates as Secretarial Auditors. The Board also sought approval to provide loans, guarantees or securities under Section 185 of the Companies Act, 2013.

The shareholder meeting was held at the registered office of Mercury EV-Tech in Vadodara, Gujarat. All 46 shareholders recorded in the company’s register were present, allowing the meeting to reach valid quorum levels. The session was chaired by Chairman and Managing Director Jayesh Raichandbhai Thakkar, supported by the Board and senior management representatives.

Executive, non-executive and independent directors of Mercury EV-Tech attended, along with the Chief Financial Officer and Company Secretary. The scrutinizer, secretarial auditors and statutory auditors were also present. This line-up meant that key governance, assurance and compliance officers were available to address investor concerns and to observe due procedure during the AGM.

During the meeting, the chair of Mercury EV-Tech briefed members on several themes. These included the broader global economic backdrop, performance in the electric vehicle business, and detailed financial results for FY 2024-25. The address also covered strategic plans for expansion, with a focus on growth in India’s EV ecosystem over the coming years.

Mercury EV-Tech used a mix of ballot papers at the venue and remote e-voting facilities to capture shareholder preferences. A scrutinizer was appointed to oversee the entire voting exercise. The aim was to keep the process transparent and compliant with the Companies Act and market regulations that govern listed Indian entities.

As required under applicable rules, Mercury EV-Tech plans to release consolidated voting results within two working days of the AGM. The outcome will be filed with CDSL and BSE and then posted on the company’s official website. This timetable allows investors to review how each resolution fared in terms of shareholder support.

Mercury EV-Tech AGM 2025 approves

Mercury EV-Tech business model, electric vehicle focus and sector role

Mercury EV-Tech positions itself as an Indian participant in the electric mobility value chain. The company highlights domestic manufacturing, green energy usage and integrated EV solutions aligned with India’s broader electric vehicle targets. It produces a range of components for e-bikes, passenger cars, buses and other vehicle categories within the EV space.

Within this framework, Mercury EV-Tech aims to operate as a broad supplier to original equipment manufacturers and related clients. The focus remains on supplying auto components rather than consumer-facing vehicles. This approach links company growth to expansion in India’s EV adoption, charging infrastructure and supportive government policies for cleaner transport.

Mercury EV-Tech share price movement and market performance

On 16 December, Mercury EV-Tech shares started trading on the BSE at Rs 39.27. During the session, the stock moved to an intraday high of Rs 40.45. This represented a gain of 4.28% against the previous closing price, signalling some short-term positive reaction from market participants.

At the latest traded level of Rs 39.82, Mercury EV-Tech is changing hands far below its 52-week high of Rs 99.26. The decline of almost 60% from peak levels reflects sustained selling pressure over the past year. Yet, the price has recovered about 10.6% from the 52-week low of Rs 36.00, suggesting selective buying interest at lower valuations.

The volatility in Mercury EV-Tech shares has been notable over twelve months. Trendlyne data shows the stock has dropped 57% during the last one-year period. That share price path contrasts with certain operating metrics, which show strong year-on-year expansion in revenue and profit on a trailing twelve-month basis.

Mercury EV-Tech financial metrics, valuation and sector positioning

As of 12 December 2025, Mercury EV-Tech had a market capitalisation of around Rs 756 crores. Despite being viewed by some market participants as a "Mid-range Performer", the company has posted strong growth in recent quarters. This performance is measured using trailing twelve-month data across revenue and net earnings.

According to Trendlyne, Mercury EV-Tech recorded TTM Operating Revenue growth of 266.8%. TTM Net Profit growth stood at 211.1%. Trendlyne categorises the company as a Market Leader in both these parameters within its sector. The disconnect between strong operating growth and sharp share price decline remains an area of interest for investors.

The AGM outcomes, combined with Mercury EV-Tech’s rapid financial expansion and weak one-year price trend, present a mixed picture for investors. Governance and compliance processes appear aligned with regulatory norms, while growth metrics remain strong. Market pricing, however, continues to reflect caution, with the stock trading well below its 52-week high despite some recovery from recent lows.
