Paisalo Digital NCD Issue and External Commercial Borrowing 2026: Private Placement, 9.25% Coupon, and USD 15 Million ECB

Paisalo Digital Limited told stock exchanges that its Operations and Finance Committee met on March 18, 2026. The committee approved and allotted Non-Convertible Debentures through private placement under SEBI Regulations, 2015. The issue covered 51,000 listed, rated, senior, secured, redeemable, taxable, and transferable instruments with monthly interest.

The debentures carry a face value of Rs 10,000 each, taking the total size to Rs 51 crore. These NCDs have a 30-month tenor, with March 18, 2026 as the allotment date. They pay a 9.25% annual coupon, and interest is due every month.

Paisalo Digital Limited said the NCDs are backed by a first-ranking exclusive charge on loan receivables. The security cover is maintained at 1.10 times the outstanding principal amount. The instruments mature on September 18, 2028. Principal repayment is due at the end of the term, and redemption is at par.

The company stated there are no special rights or privileges linked to these debentures. If interest or principal is delayed or unpaid for more than three months, penal interest applies. The penal charge is an extra 2% per annum over the coupon rate. These terms sit alongside the scheduled monthly coupon payments.

Paisalo Digital Limited also reported completion of its first External Commercial Borrowing transaction. The deal size was USD 15 million. The company described it as part of a plan to diversify liabilities. The stated aim is to access overseas funding with longer tenor and lower cost.

The company indicated the ECB proceeds will support growth in the loan portfolio. The focus remains on MSMEs, income-generating segments, and other key sectors. Separately, for a planned Rs 1,500 crore NCD issue, Brickwork Ratings India assigned a long-term rating of "BWR AA / Stable".
