IRB Infrastructure Developers Ltd. Company History and Annual Growth Details

The Company was incorporated as a private
limited company,DVJ Leasing and Finance Private Limited
on July 27,1998 under the Companies Act. The Company
was primarily formed to fund the capital requirement of the
IRB Group’sinitiatives in the infrastructure and construction sectors
Although the Company was incorporated as a leasing and
financing company, it did not undertake any leasing business.

In the past, the Company has carried on certain maintenance
operations for road projects constructed by other entities in the
IRB Group. In 2005, the Company was granted the Bharuch Surat
BOT project. Subsequently, pursuant to the restructuring of the
IRB Group in the fiscal year 2007, the Company became the holding
company of the IRB Group

Following the restructuring of the IRB Group, the name of the
Company was changed from DVJ Leasing and Finance Private
Limited to IRB Infrastructure Developers Private Limited pursuant to
a special resolution of the shareholders of the Company at an EGM held
on October 30, 2006. The fresh certificate of incorporation
consequent upon the change of name was granted by the RoC on
November 8, 2006. Subsequently, pursuant to a special resolution
of the shareholders of the Company at an EGM held on
November 25, 2006, the Company became a public limited
company and the word private was deleted from its name.
The certificate of incorporation to reflect the new name was
ssued by the RoC on November 27, 2006.

IDAA become the subsidiary of the Company on June 21, 2006.
The Company subsequently subscribed to 66% of the shareholding
in Aryan on July 18, 2007. On September 8, 2007, the Company increased
its shareholding in IRBPL, MIPL, TGTRPL, IRB Infra and NKT to further
consolidate the Company’s shareholding in the Subsidiaries.

The registered office of the Company was shifted with effect from
July 1, 1999 from Manisha Safalya, Mahatma Gandhi Road, Dombivli,
Mumbai 421 202, to 501, Dattashram,Hindu Colony, Lane No.1, Dadar
Mumbai 400 014. Thereafter, the registered office of the Company
was shifted to 3rd Floor, IRB Complex, Chandivli Farm, Chandivli Village,
Andheri (East),Mumbai 400 072 with effect from November 28, 2006.Ideal

1977 IRBPL was incorporated as a private limited company.

1977 to 1995 Execution of various construction contracts in the roads
sector including World Bank aided projects as an EPC contractor.

September 1995 First venture in BOT Project being the signing of the

2019

-Singapore's sovereign wealth fund GIC will invest up to Rs 4,400 crore in the road assets of IRB Infrastructure Developers, according to a company statement As part of the transaction, IRB will transfer 9 of its BOT (build, operate and transfer) assets into a private infrastructure investment trust in which IRB will hold controlling stake of 51 per cent, IRB.

- IRB Infrastructure Trust - Private InvIT has successfully closed 2nd Tranche of fund raising by way of Rights Issue of Units amounting to Rs. 510 Crore. The Company being the Sponsor and 51% stakeholder, contributed Rs. 260 Crore and the GIC Affiliates holding 49% have contributed balance Rs. 250 Crore. This is part of the total commitment of Rs. 4,400 Crore by GIC affiliates towards 49% stake in Pvt InvIT housing 9 BOT assets, out of which IRB Infrastructure Trust has already receive 3,753 Crores from GIC affiliates in February, 2020.

Further the Company will continue to hold 51% and GIC affiliates will continue to hold a 49% stake in the IRB Infrastructure Trust.

2021

-The Company has emerged as the Selected Bidder for the Project of Development of Access Controlled Six Lane (Expandable to Eight Lane) Greenfield ''Ganga Expressway'' Group-I, from Km. 7+900 (Village: Bijoli, Distt: Meerut) to Km. 137+600, (Village: Nagla Barah, Distt: Budaun), Design length 129.700 Km in the State of Uttar Pradesh on DBFOT (Toll) basis under PPP and have received Letter of Award (LOA) dated December 16, 2021 from Uttar Pradesh Expressways Industrial Development Authority (UPEIDA).
