Nureca Ltd. Company History and Annual Growth Details

The Company was incorporated as ‘Nureca Private Limited’, as a private limited company, under the Companies Act, 2013 on November 2, 2016 and a certificate of incorporation was issued by Registrar of Companies, Central Registration Centre, at Delhi. The registered office of the Company was changed from Delhi to Mumbai, Maharashtra, pursuant to certificate of registration of regional director order dated January 8, 2019 for change of state issued by the RoC with effect from February 8, 2019. Upon to conversion into a public limited company pursuant to a special resolution passed in the extra ordinary general meeting of the shareholders of the Company held on June 19, 2020, the name of the Company was changed to the present name ‘Nureca Limited’ and a fresh certificate of incorporation was issued by the RoC on July 8, 2020.

The Company became a wholly owned Subsidiary of Nectar Biopharma Private Limited on August 16, 2018. Pursuant to the Scheme of Arrangement approved by the NCLT, Special Bench, Mumbai vide its order dated April 29, 2020, the Specified Undertaking (as defined in the Scheme of Arrangement) was demerged from Nectar Biopharma Private Limited and vested into the Company. Consequently, 1 equity share of face value Rs.10 each of the Company was issued to each shareholders of Nectar Biopharma Private Limited for every 1 equity shares of face value Rs.10 each, held by them in Nectar Biopharma Private Limited as on the record date, i.e. June 9, 2020.

Major Events and Milestones :

2016

- Online launch of Dr. Trust Brand.

2017

- Launched Dr. Physio brand in electric massager categories and Trumom brand in mother and child care categories.

- Started three flex centres in Punjab, Karnataka and Uttar Pradesh.

2018

- The Company became the wholly owned subsidiary of Nectar Biopharma Private Limited.

- Added three flex centres in Chandigarh, Telangana and Maharashtra.

- Secured warehouse drug license.

2020

- Transfer and vesting of Specified Undertaking (as defined under the Scheme) from Nectar Biopharma Private Limited to the Company pursuant to the Scheme of Arrangement.

2024

-Nureca Ltd. has entered into a Distribution Agreement, making its products available on a leading quick commerce platform in India.

2025

-Nureca Ltd. expands Quick Commerce Reach with Dr Trust products now available on Swiggy Instamart.
