Unick Fix-a-Form and Printers Limited was incorporated on 18th March, 1993 as a Public Limited Company in the State of Gujarat under the name Unick Fix-a-Form and Lables Ltd. The certificate of commencement of business was obtained on 24th March, 1993 Two Private Limited Companies of the same group namely i) Unick Fix-a-Form Private Limited and ii) Unick Labels and Print Private Limited were amalgamated with the company with effect from 1st April, 1993. Subsequently the name of the company was changed to Unick Fix-a-Form and Printers Ltd. on 12-10-94 U/S 21 of the Companies Act, 1956. Unick Fix-a-Form and Printers Limited manufactures Fix-A-Form which is an internationally patented product. The company is the sole licencees for manufacture of Fix-a-Form in India. Fix- a-Form is a unique packaging concept based on state of art printing and allied technology. The Company also manufactures printing materials of various types for product packaging. On the completion of the proposed expansion, the Company will be able to manufacture business forms, computer stationery and other printed product packaging materials. The present installed capacity of the company is 180 Lacs pieces. At present the Company is having all inhouse facilities for making Fix-a-Form as well as product packaging materials. The Group company Unick-Fix-A-Form Pvt, Ltd was incorporated in 1984 with an object of manufacturing Fix-A-Form. The Company is having a consistent record of profitability. The other group company Unick Labels and Print Pvt. Ltd was incorporated in 1988 with an object of having inhouse printing facilities. The Company is also having a consistent record of profitability. The company proposes to expand its operations substantially as the product has high growth prospects and demand, this is substantiated by the market survey conducted by ABC Consultants Pvt. Ltd. SCHEME OF AMALGAMATION Under the Scheme of amalgamation approved by Gujarat High Court, on 11th July 1994, 224 shares of Rs. 10/- each of Unick Fix-a-Form and Printers Limited were issued for every 1 share of Rs.100/- each of Unick Fix-a-Form Private Limited and 129 shares of Rs. 10/- each of Unick Fix-a-Form and Printers Limited were issued for every 1 share of Rs.100/- each of Unick Labels & Print Private Limited.
