ITC Hotels Ltd. Company History and Annual Growth Details

The Scheme of Arrangement filed under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 involves: (i) demerger of the Demerged Undertaking comprising the Hotels Business of Demerged Company and vesting of the same into the Resulting Company on a going concern basis and in consideration, the consequent issuance of New Equity Shares by the Resulting Company to all the shareholders of the Demerged Company as per the share entitlement ratio (as defined in the Scheme of Arrangement), and in accordance with the provisions of Section 2(19AA) read with other relevant provisions of the IT Act; (ii) various other matters consequential or otherwise integrally connected therewith, including changes to the share capital and securities premium account of the Resulting Company, pursuant to the provisions of Sections 230 to 232 read with other applicable / relevant provisions of the Companies Act, 2013 and in compliance with the provisions of the IT Act and other applicable regulatory requirements.
