TO THE MEMBERS OF JAYPEE INFRATECH LIMITED Report on the Standalone financial statements
We have audited the accompanying Standalone financial statements of Jaypee Infratech Limited (âthe Companyâ), which comprise the Balance Sheet as at March 31st, 2021, the Statement of Profit and Loss (including Other Comprehensive Income), the Statement of Changes in Equity and the Statement of Cash Flows for the year ended on that date, and a summary of significant accounting policies and other explanatory information (hereinafter referred to as âthe standalone financial statementsâ).
Opinion
In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone financial statements give the information required by the Companies Act, 2013 (âthe Actâ) in the manner so required and give a true and fair view in conformity with the Indian Accounting Standards prescribed under section 133 of the Act read with the Companies (Indian Accounting Standards) Rules, 2015, as amended, (âInd ASâ) and other accounting principles generally accepted in India, of the state of affairs of the Company as at March 31,2021, the loss and total comprehensive income, changes in equity and its cash flows for the year ended on that date.
Basis of Opinion
We conducted our audit of the standalone financial statements in accordance with the Standards on Auditing specified under section 143(10) of the Act (SAs). Our responsibilities under those Standards are further described in the Auditor''s Responsibilities for the Audit of the Standalone Financial Statements section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India (ICAI) together with the independence requirements that are relevant to our audit of the standalone financial statements under the provisions of the Act and the Rules made thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the ICAI''s Code of Ethics. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the standalone financial statements.
Emphasis of Matter We invite attention to:
1. Note no. 31 to Standalone Financial Statements which described the Corporate Insolvency Resolution Process of the Company under Insolvency and Bankruptcy Code, 2016 (âthe Code'') and related matters. Hon''ble Supreme Court vide its order dated 24th March 2021 stipulates completion of Corporate Insolvency Resolution Process within specified time limit. The process is underway as on date of report and consequently, effect in the financial statements will be given once the process is complete.
2. Note no. 32 to Standalone Financial Statements which provides that owing to complete / partial lockdown due to COVID-19, the company''s operations were scaled down/shut in accordance with Government Guidelines.
3. Note no. 38(b) to Standalone Financial Statements regarding disclosure of balance Cost estimates based on Independent Consultants report, which may vary based on the factors prevailing at the time of actual execution.
4. Note no. 54 to Standalone Financial Statements which provides that the balances of creditors, debtors, lenders, YEIDA(Yamuna Expressway Industrial Development Authority), advances paid/received, and other liabilities appearing in the balance sheet are subject to balance confirmation. The management is in the process of obtaining the respective confirmations in the due course.
Our opinion is not modified in respect of the above matters. Material Uncertainty Related to Going Concern
We draw attention to Note No. 31 to the standalone financial statements regarding the status of Corporate Insolvency Resolution Process of the Company under Insolvency and Bankruptcy Code, 2016 (âthe Code'') which provides that bids received from Suraksha Realty and NBCC Ltd. are put to vote by Committee of Creditors (âCoCâ) and consequently, operations of the company are managed by Interim Resolution Professional. These events indicate that a material uncertainty exists that may cast significant doubt on the company''s ability to continue as a going concern. Our opinion is not modified in respect of above matter.

Key audit matters are those matters that, in our professional judgment, were of most significance in our audit of the standalone financial statements of the current period. These matters were addressed in the context of our audit of the standalone financial statements as a whole, and in forming our opinion thereon, and we do not provide a separate opinion on these matters. We have determined the matters described below to be the key audit matters to be communicated in our report.

1. Evaluation of uncertain direct and indirect tax positions |

The Company has material uncertain direct and indirect tax positions including matters under dispute which involves significant judgment to determine the possible outcome of these disputes. The Company has disputes pending at various levels of tax authorities over the past several years, as on March 31, 2021 the company has total such disputed demands amounting to Rs. 1,617.01 Crores. We have considered these as Key Audit Matter as it requires significant management judgment, including accounting estimates that involves high estimation uncertainty. |
Our audit included but was not limited to the following procedures: ⢠We have evaluated the appropriateness of the design and tested the operating effectiveness of the management''s controls over the tax litigation matters. ⢠Obtained details of completed tax assessments and demands during the year ended March 31,2021 from Management. ⢠We reviewed the management''s underlying assumptions in estimating the tax provision and the possible outcome of the disputes. ⢠Additionally, we considered the effect of the outcomes of the Appellate Orders received during the year in respect of uncertain tax positions as at April 1, 2020 to evaluate whether any change was required to management''s position on these uncertainties. |

The Company''s Management is responsible for the preparation of the other information. The other information comprises the information included in the Board''s Report including Annexures to Board''s Report, Management Discussion and Analysis/ Business Responsibility Report/Corporate Governance and Shareholder''s Information, but does not include the standalone financial statements and our auditor''s report thereon. The above-referred information is expected to be made available to us after the date of this audit report.
Our opinion on the standalone financial statements does not cover the other information and we do not express any form of assurance conclusion thereon.
In connection with our audit of the standalone financial statements, our responsibility is to read the other information identified above when it becomes available and, in doing so, consider whether the other information is materially inconsistent with the standalone financial statements or our knowledge obtained during the course of our audit or otherwise appears to be materially misstated.
When we read the other information, if we conclude that there is a material misstatement therein, we are required to communicate the matter to those charged with governance and take appropriate actions necessitated by the circumstances and the applicable laws and regulations.
Responsibilities of Management and Those Charged with Governance for the Standalone Financial Statements
The company has been undergoing Corporate Insolvency Resolution Process (âCIRPâ) in terms of the provisions of the Insolvency & Bankruptcy Code, 2016 (âIBCâ) vide order dated
09.08.2017 and 14.08.2018 passed by the Hon''ble National Company Law Tribunal (âNCLTâ) Allahabad read with order dated
09.08.2018 passed by the Hon''ble Supreme Court of India in Writ Petition (Civil) No. 744/2017 and order dated 06.11.2019 passed by the Hon''ble Supreme Court of India in the matter of Jaiprakash Associates Ltd. & Anr. Vs. IDBI Bank Ltd. & Anr. As per Section 20 of the Insolvency Code, management & operations of the Company were being managed by Interim Resolution Professional Mr. Anuj Jain, on a Going Concern Basis.
The Committee of Creditors (âCoCâ) approved the Resolution Plan of NBCC India Limited (âNBCCâ) on 17.12.2019. The Hon''ble
NCLT, Principal Bench (Delhi) vide its order dated 03.03.2020 approved the Resolution Plan of NBCC. However, the Resolution Plan is not implemented and NBCC filed an appeal against Hon''ble NCLT order on 20.03.2020 with Hon''ble National Company Law Appellate Tribunal (NCLAT).
Further, Hon''ble NCLAT vide its order dated 22.04.2020 provides that the approved Resolution Plan may be implemented subject to outcome of appeal and Interim Resolution Professional (IRP) may constitute an Interim Monitoring Committee (âIMCâ) comprising of IRP NBCC and three largest lenders of JIL i.e. IDBI Bank Limited, India Infrastructure Limited (IIFCL) and Life Insurance Corporation of India (LIC). IMC, in its first meeting dated 27.04.2020, determined role, responsibilities, powers and functions of IMC including manage the operations of the company as going concern.
Hon''ble Supreme Court of India vide order dated 06.08.2020 directed all appeals pending before the Hon''ble NCLAT shall stand transferred to this Court. Hon''ble Supreme Court further directed the IRP to continue to manage the affairs of the company and there shall be ad interim stay of the operation of the impugned Hon''ble NCLAT order dated 22.04.2020. Further, directions were passed by the Hon''ble Supreme Court of India vide order dated 10.09.2020 that since the entire resolution plan is pending consideration in these proceedings before this Court, it is appropriate that no coercive action be taken by any person/authority against the Company until further orders on the principle underlying Section 14 of the Insolvency and Bankruptcy Code, 2016.
Hon''ble Supreme Court of India vide its order dated 24.03.2021 has directed the IRP to complete the CIRP within the extended time of 45 days by inviting modified/fresh resolution plans from Suraksha Realty and NBCC only. Pursuant to the directions of Hon''ble Supreme Court of India, IRP invited fresh/modified Resolution Plan from Suraksha Realty and NBCC. Consequently, Suraksha Realty and NBCC have submitted their bids on 07.04.2021. Upon discussion of said resolution plans in CoC from time to time, both applicants have revised their bids. CoC sought extension from Hon''ble Supreme Court 07.07.2021 to complete CIRP of the company and both the applicants have submitted their final resolution plan which are put to vote by the CoC.
IRP is currently managing the operations of the company and financial statements have been prepared on going concern basis. The Company''s management is responsible for the matters stated in Section 134(5) of the Companies Act, 2013 (âthe Actâ) with respect to the preparation of these Standalone financial statements that give a true and fair view of the financial position, financial performance, total comprehensive income, changes in equity and cash flows of the Company in accordance with the accounting principles generally accepted in India, including the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the standalone financial statements that give a true
and fair view and are free from material misstatement, whether due to fraud or error.
In preparing the standalone financial statements, management is responsible for assessing the Company''s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.
The Management is responsible for overseeing the Company''s financial reporting process.
Auditorâs Responsibility for the Audit of the Standalone Financial Statements
Our objectives are to obtain reasonable assurance about whether the standalone financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor''s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these standalone financial statements.
As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:
⢠Identify and assess the risks of material misstatement of the standalone financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
⢠Obtain an understanding of internal financial controls relevant to the audit in order to design audit procedures that are appropriate in the circumstances. Under section 143(3)(i) of the Act, we are also responsible for expressing our opinion on whether the Company has adequate internal financial controls system in place and the operating effectiveness of such controls.
⢠Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management.
⢠Conclude on the appropriateness of management''s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company''s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor''s report to the related disclosures in the standalone financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor''s report. However, future events or conditions may cause the Company to cease to continue as a going concern.
⢠Evaluate the overall presentation, structure and content of the standalone financial statements, including the disclosures, and whether the standalone financial statements represent the underlying transactions and events in a manner that achieves fair presentation.
Materiality is the magnitude of misstatements in the standalone financial statements that, individually or in aggregate, makes it probable that the economic decisions of a reasonably knowledgeable user of the financial statements may be influenced. We consider quantitative materiality and qualitative factors in (i) planning the scope of our audit work and in evaluating the results of our work; and (ii) to evaluate the effect of any identified misstatements in the financial statements.
We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.
We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.
From the matters communicated with those charged with governance, we determine those matters that were of most significance in the audit of the standalone financial statements of the current period and are therefore the key audit matters. We describe these matters in our auditor''s report unless law or regulation precludes public disclosure about the matter or when, in extremely rare circumstances, we determine that a matter should not be communicated in our report because the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication.
Report on Other Legal and Regulatory Requirements 1. As required by Section 143(3) of the Act, based on our audit we report that:
a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit.
b) In our opinion proper books of account as required by law have been kept by the Company so far as appears from our examination of those books.
c) The Balance Sheet and the Statement of Profit and Loss including Other Comprehensive Income, Statement of Changes in Equity and the Statement of Cash Flow dealt with by this Report are in agreement with the books of account.
d) In our opinion, the aforesaid Standalone financial statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014.
e) On the basis of the written representations received from the non independent directors of the company as on 31st March, 2021, pending to be taken on record by the Board of Directors of the company as it is under Corporate Insolvency Resolution Process, none of the non independent directors is disqualified as on 31st March, 2021 from being appointed as a director in terms
of Section 164 (2) of the Act.
f) With respect to the adequacy of the internal financial controls with reference to financial statements of the Company and the operating effectiveness of such controls, refer to our separate Report in âAnnexure Aâ. Our report expresses an unmodified opinion on the adequacy and operating effectiveness of the Company''s Internal Financial Controls with reference to financial statements.
g) With respect to the other matters to be included in the Auditor''s Report in accordance with the requirements of section 197(16) of the Act, as amended:
In our opinion, and to the best of our information and according to the explanations given to us, no remuneration paid by the Company to its directors during the year.
h) With respect to the other matters included in the Auditor''s Report in accordance with Rule 11 of the companies (Audit and Auditors) Rule, 2014, in our opinion and to the best of our information and according to the explanation given to us:
i. The company has disclosed the impact of pending litigation on its financial position in its standalone financial statements;
ii. The Company did not have any long-term contracts including derivative contracts for which there were any material foreseeable losses;
iii. There has been no delay in transferring amounts, required to be transferred, to the Investor Education and Protection Fund by the Company.
2. As required by the Companies (Auditor''s Report) Order, 2016 (âthe Orderâ), issued by the Central Government of India in terms of sub-section (11) of Section 143 of the Act, we give in âAnnexure Bâ a statement on the matters specified in paragraphs 3 and 4 of the Order.

Report on the Standalone Ind AS Financial Statements
We have audited the accompanying standalone Ind AS financial statements of Jaypee Infratech Limited (âthe Companyâ), which comprise the Balance Sheet as at March 31st, 2018, the Statement of Profit and Loss (including Other Comprehensive Income), the Cash Flow Statement and the Statement of Changes in Equity for the period then ended and a summary of significant accounting policies and other explanatory information.
Managementâs Responsibility for the Standalone Ind AS Financial Statements
As the corporate insolvency resolution process has been initiated in respect of the Company under the provisions of the Insolvency and Bankruptcy Code, 2016 (âthe Code'') by the National Company Law Tribunal (NCLT) Allahabad bench, vide its order dated 9th August, 2017, the powers of the Board of Directors stand suspended as per Section 17 of the Code and such powers are being exercised by the Resolution Professional appointed by the National Company Law Tribunal by the said order under the provisions of the Code.
The Company''s management is responsible for the matters stated in Section 134(5) of the Companies Act, 2013 (âthe Actâ) with respect to the preparation of these standalone Ind AS financial statements that give a true and fair view of the financial position, financial performance and cash flows of the Company in accordance with the accounting principles generally accepted in India, including the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the standalone Ind AS financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error.
Auditorâs Responsibility
Our responsibility is to express an opinion on these standalone Ind AS financial statements based on our audit.
While conducting our audit, we have taken into account the provisions of the Act, the accounting and auditing standards and matters which are required to be included in audit report under the provisions of the act and the rules made thereunder.
We conducted our audit in accordance with the Standards on Auditing specified under section 143(10) of the Act. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the standalone Ind AS financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the standalone Ind AS financial statements. The procedures selected depend on the auditor''s judgment, including the assessment of the risks of material misstatement of the standalone Ind AS financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal financial control relevant to the Companies preparation of the standalone Ind AS financial statements that give true and fair view in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of the accounting estimates made by Companies Directors, as well as evaluating the overall presentation of the standalone Ind AS financial statements.
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the standalone Ind AS financial statements.
Opinion
In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone Ind AS financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of the Company as at March 31, 2018, and its loss, total comprehensive income, the changes in equity and its cash flows for the year ended on that date.
Emphasis of Matter
We draw attention to following:
1. Note No. 31 regarding
a. Corporate Insolvency Resolution Process(CIRP) initiated under Insolvency and Bankruptcy Code, 2016 (âthe Code'') and the outcome of the CIRP is subject to final decision of Hon''ble Supreme Court of India.
b. The utilization and accounting of amount deposited by Jaiprakash Associates Limited, the holding company of Jaypee Infratech Limited subject to the outcome of proceeding pending before the Hon''ble Supreme Court of India.
c. Presentation of financial statements on a going concern basis.
2. Note no. 32(g) which indicates material uncertainty in respect of estimation of liability on account of discount (rebate) to customer for likely delay in possession of units under construction and accounting thereof.
Our opinion is not modified in respect of the above matters.
Report on Other Legal and Regulatory Requirements
1. As required by Section 143(1) of the Act, base on our audit we report that:
a) we have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit.
b) in our opinion proper books of account as required by law have been kept by the Company so far as appears from our examination of those books.
c) the Balance Sheet and the Statement of Profit and Loss including Other Comprehensive Income, Statement of Changes in Equity and the Statement of Cash Flow dealt with by this Report are in agreement with the books of account.
d) in our opinion, the aforesaid standalone Ind AS financial statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014.
e) on the basis of the written representations received from the directors as on 31st March, 2018 taken on record by the Board of Directors, none of the directors is disqualified as on 31st March, 2018 from being appointed as a director in terms of Section 164 (2) of the Act.
f) with respect to the adequacy of the internal financial controls over financial reporting of the Company and the operating effectiveness of such controls, refer to our separate Report in âAnnexure Aâ. Our report expresses an unmodified opinion on the adequacy and operating effectiveness of the Company''s internal financial controls over financial reporting.
g) with respect to the other matters included in the Auditor''s Report in accordance with Rule 11 of the companies (Audit and Auditors) Rule, 2014, in our opinion and to the best of our information and according to the explanation given to us and to best of our information and according to the explanations given to us :
i. The company has disclosed the impact of pending litigation on its financial position in its standalone Ind AS financial statements;
ii. the Company did not have any long-term contracts including derivative contracts for which there were any material foreseeable losses;
iii. There has been no delay in transferring amounts, required to be transferred, to the Investor Education and Protection Fund by the Company.

Report on the Internal Financial Controls under Clause (i) of Sub-section 3 of Section 143 of the Companies Act, 2013 (âthe Actâ)
In conjunction with our audit of the standalone Ind AS financial statements of the Company as of and for the year ended on 31 March 2018, we have audited the internal financial controls over financial reporting of the company as of that date.
Managementâs Responsibility for Internal Financial Controls The Management of the company is responsible for establishing and maintaining internal financial controls based on the internal control over financial reporting criteria established by the Company considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls over Financial Reporting issued by the Institute of Chartered Accountants of India (âICAI''). These responsibilities include the design, implementation and maintenance of adequate internal financial controls that were operating effectively for ensuring the orderly and efficient conduct of its business, including adherence to company''s policies, the safeguarding of its assets, the prevention and detection of frauds and errors, the accuracy and completeness of the accounting records, and the timely preparation of reliable financial information, as required under the Companies Act, 2013.
Auditorsâ Responsibility
Our responsibility is to express an opinion on the Company''s internal financial controls over financial reporting based on our audit. We conducted our audit in accordance with the Guidance Note on Audit of Internal Financial Controls over Financial Reporting (the âGuidance Noteâ) issued by the Institute of Chartered Accountants of India and the Standards on Auditing, issued by ICAI and deemed to be prescribed under section 143(10) of the Companies Act, 2013, to the extent applicable to an audit of internal financial controls, both issued by the Institute of Chartered Accountants of India. Those Standards and the Guidance Note require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether adequate internal financial controls over financial reporting was established and maintained and if such controls operated effectively in all material respects.
Our audit involves performing procedures to obtain audit evidence about the adequacy of the internal financial controls system over financial reporting and their operating effectiveness. Our audit of internal financial controls over financial reporting included obtaining an understanding of internal financial controls over financial reporting, assessing the risk that a material weakness exists, and testing and evaluating the design and operating effectiveness of internal control based on the assessed risk. The procedures selected depend on the auditor''s judgment, including the assessment of the risks of material misstatement of the standalone Ind AS financial statements, whether due to fraud or error.

Meaning of Internal Financial Controls over Financial Reporting
A company''s internal financial control over financial reporting is a process designed to provide reasonable assurance regarding the reliability of financial reporting and the preparation of standalone Ind AS financial statements for external purposes in accordance with generally accepted accounting principles. A company''s internal financial control over financial reporting includes those policies and procedures that (1) pertain to the maintenance of records that, in reasonable detail, accurately and fairly reflect the transactions and dispositions of the assets of the company; (2) provide reasonable assurance that transactions are recorded as necessary to permit preparation of standalone Ind AS financial statements in accordance with generally accepted accounting principles, and that receipts and expenditures of the company are being made only in accordance with authorisations of management and directors of the company; and (3) provide reasonable assurance regarding prevention or timely detection of unauthorised acquisition, use, or disposition of the company''s assets that could have a material effect on the standalone Ind AS financial statements.
Inherent Limitations of Internal Financial Controls over Financial Reporting
Because of the inherent limitations of internal financial controls over financial reporting, including the possibility of collusion or improper management override of controls, material misstatements due to error or fraud may occur and not be detected. Also, projections of any evaluation of the internal financial controls over financial reporting to future periods are subject to the risk that the internal financial control over financial reporting may become inadequate because of changes in conditions, or that the degree of compliance with the policies or procedures may deteriorate.
Opinion
In our opinion, the Company, have in all material respects, an adequate internal financial controls system over financial reporting and such internal financial controls over financial reporting were operating effectively as at 31 March 2018, based on the internal control over financial reporting criteria established by the Company considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls Over Financial Reporting issued by the ICAI.
ANNEXURE âBâ TO THE INDEPENDENT AUDITORâS REPORT
(Referred to in paragraph 2 under âReport on Other Legal and Regulatory Requirements'' section of our report to the Members of Jaypee Infratech Limited of even date)
i. In respect of the Company''s fixed assets:
(a) The company has maintained proper records showing full particulars including quantitative details and situation of fixed assets.
(b) A substantial portion of fixed assets has been physically verified by the management during the year and in our opinion the frequency of verification is reasonable having regard to the size of the company, the nature of its assets. According to the information given to us and to the best of our knowledge, no material discrepancies were noticed on such physical verification.
(c) According to the information and explanations given to us and the records examined by us, we report that, the title deeds, comprising the immovable property of Land, are held in the name of company as at the balance sheet date.
ii. (a) As explained to us, the Inventory has been physically verified by the management at reasonable intervals during the year.
(b) In our opinion and according to the information and explanations given to us, no material discrepancies were noticed on physical verification.
iii. According to the information and explanations given to us and the records examined by us, Company has not granted secured or unsecured loan to companies, firms, limited liability partnerships and other parties covered in the register maintained under section 189 of the Companies Act, 2013.
iv. In our opinion and according to the information and explanations given to us, the Company has not granted any loans, made any investment, given any guarantee, or provided any security to the parties covered under section 185 and 186 of the Companies Act, 2013. However, the Company has provided security for financial assistance availed by Jaiprakash Associates Limited, the holding company, from its lenders.
v. According to the information and explanations given to us, the company has not accepted deposits during the year. The company generally complied with the provisions of Sections 73 to 76 or any other relevant provisions of the Companies Act, 2013. However, there has been delay in repayment of fixed deposits. The company has sought extension of time for repayment of such fixed deposits from the Hon''ble National Company Law Tribunal (NCLT), Allahabad Bench which was granted by the Hon''ble NCLT vide its various orders. The next date of hearing in the matter is 22.05.2018.
In compliance to the said orders of the Hon''ble NCLT the company had been making repayment of such fixed deposits along with interest till date of maturity. (Also Refer Note no. 32(f) to the standalone Ind AS financial statements)
vi. According to the information and explanations given to us, cost records as prescribed by the central Government under Section 148(1) of the Companies Act, 2013 are being made and maintained.
vii. (a) According to the information and explanations given to us and the records examined by us, in our opinion, the company has generally been regular in depositing with appropriate authorities undisputed statutory dues including Provident Fund, Employees'' State Insurance, Income-tax, Service tax, value added tax, Goods and Service tax, cess and any other material statutory dues applicable to it. There were no arrears of such dues at the year end which have remain outstanding for a period of more than six months from the date they became payable.
(b) According to the information and explanations given to us and the records examined by us, company has following dues in respect of Income Tax, Service Tax and value added tax which has not been deposited on account of any dispute:

ix. The company has not raised moneys by way of further public offer. Further, in our opinion and according to the information and explanations given to us, the moneys raised by way of debt instruments and term loans have been applied by the company during the year for the purposes for which they are raised.
x. To the best of our knowledge and according to the information and explanations given to us, no fraud by the company and no material fraud on the company by its officers or employees, noticed or reported to us by the management during the year.
xi. According to the information and explanations give to us and based on our examination of the records of the Company, the Company has paid/provided for managerial remuneration in accordance with the requisite approvals mandated by the provisions of section 197 read with Schedule V to the Act.
xii. In our opinion and according to the information and explanations given to us, Company is not a Nidhi Company. Accordingly reporting under paragraph 3(xii) of the Order is not applicable.
xiii. According to the information and explanations given to us and based on our examination of the records of the Company, all transactions with the related parties are in compliance with sections 177 and 188 of the Act where applicable and details of such transactions have been disclosed in the standalone Ind AS financial statements as required by the applicable accounting standards.
xiv. According to the information and explanations give to us and based on our examination of the records of the Company, the Company has not made any preferential allotment or private placement of shares or fully or partly convertible debentures during the year and hence reporting under clause 3(xiv) are not applicable to the company.
xv. According to the information and explanations given to us and based on our examination of the records of the Company, the Company has not entered into non-cash transactions with directors or persons connected with him. Accordingly, reporting under paragraph 3(xv) of the Order are not applicable.
xvi. The company is not required to be registered under section 45-IA of the Reserve Bank of India Act, 1934.

Report on the Standalone Indian Accounting Standards (Ind AS) Financial Statements
We have audited the accompanying standalone ind AS financial statements of Jaypee Infratech Limited (âthe Companyâ) which comprise the Balance Sheet as at March 31, 2017, the Statement of Profit and Loss (including Other Comprehensive income), the Cash Flow Statement and the Statement of Changes in Equity for the year then ended, and a summary of significant accounting policies and other explanatory information.
Managementâs Responsibility for the standalone Ind AS Financial Statements
The Companyâs Board of Directors is responsible for the matters stated in Section 134(5) of the Companies Act, 2013 (âthe Actâ) with respect to the preparation of these standalone ind AS financial statements that give a true and fair view of the financial position, financial performance (including other comprehensive income), cash flows and changes in equity of the Company in accordance with the accounting principles generally accepted in india, including the indian Accounting Standards prescribed under Section 133 of the Act. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the standalone ind AS financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error.
Auditorâs Responsibility
Our responsibility is to express an opinion on these standalone ind AS financial statements based on our audit.
We have taken into account the provisions of the Act and the Rules made thereunder, including the accounting and auditing standards and matters which are required to be included in the audit report under the provisions of the Act and the Rules made thereunder.
We conducted our audit of the standalone ind AS financial statements in accordance with the Standards on Auditing specified under Section 143(10) of the Act. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the standalone ind AS financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and the disclosures in the standalone ind AS financial statements. The procedures selected depend on the auditorâs judgment, including the assessment of the risks of material misstatement of the standalone ind AS financial statements, whether due to fraud or error. in making those risk assessments, the auditor considers internal financial control relevant to the Companyâs preparation of the standalone ind AS financial statements that give a true and fair view in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the accounting estimates made by the Companyâs Directors, as well as evaluating the overall presentation of the standalone ind AS financial statements.
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the standalone ind AS financial statements.
Opinion
in our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone ind AS financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in india, of the state of affairs of the Company as at March 31, 2017, and its loss (including other comprehensive income), its cash flows and the changes in equity for the year ended on that date.
Other Matter
The financial information of the Company for the year ended March 31, 2016 and the transition date opening balance sheet as at April 1, 2015 included in these standalone ind AS financial statements, are based on the previously issued statutory financial statements for the year ended March 31, 2016 and March 31, 2015 prepared in accordance with the Companies (Accounting Standards) Rules, 2006 (as amended) which were audited by us, on which we expressed an unmodified opinion dated May 26, 2016 and May 28, 2015 respectively. The adjustments to those financial statements for the differences in accounting principles adopted by the Company on transition to the ind AS have been audited by us.
Our opinion is not qualified in respect of this matter.
Report on Other Legal and Regulatory Requirements
1. As required by Section 143 (3) of the Act, we report that:
a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit.
b) in our opinion, proper books of account as required by law have been kept by the Company so far as it appears from our examination of those books.
c) The Balance Sheet, the Statement of Profit and Loss (including Other Comprehensive income), the Statement of Changes in Equity, and the Cash Flow Statement dealt with by this Report are in agreement with the books of account.
d) in our opinion, the aforesaid standalone ind AS financial statements comply with the indian Accounting Standards prescribed under section 133 of the Act.
e) On the basis of the written representations received from the directors as on March 31, 2017 taken on record by the Board of Directors, none of the directors is disqualified as on March 31, 2017 from being appointed as a director in terms of Section 164 (2) of the Act.
f) With respect to the adequacy of the internal financial controls over financial reporting of the Company and the operating effectiveness of such controls, refer to our separate Report in âAnnexure Aâ. Our report expresses an unmodified opinion on the adequacy and operating effectiveness of the Companyâs internal financial controls over financial reporting.
g) With respect to the other matters to be included in the Auditorâs Report in accordance with Rule 11 of the Companies (Audit and Auditors) Rules, 2014, as amended, in our opinion and to the best of our information and according to the explanations given to us:
i. The Company has disclosed the impact of pending litigations on its financial position in its standalone ind AS financial statements-Refer Note 32 to the standalone ind AS financial statements;
ii. The Company did not have any long-term contracts including derivative contracts for which there were any material foreseeable losses - Refer Note 47 to the standalone ind AS financial statements;
iii. There are no amounts that were due for being transferred to the investor Education and Protection Fund by the Company.
iv. The Company has provided requisite disclosures in the standalone ind AS financial statements as regards its holding and dealings in Specified Bank Notes as defined in the Notification S.O. 3407(E) dated the 8 November, 2016 of the Ministry of Finance, during the period from 8 November, 2016 to 30 December, 2016. Based on audit procedures performed and the representations provided to us by the management we report that the disclosures are in accordance with the books of account maintained by the Company and as produced to us by the Management. - Refer Note 36 to the standalone ind AS financial statements.
2. As required by the Companies (Auditorâs Report) Order, 2016 (âthe Orderâ) issued by the Central Government in terms of Section 143(11) of the Act, and on the basis of such checks of the books and records of the Company as we considered appropriate and according to the information and explanations given to us, we give in âAnnexure Bâ a statement on the matters specified in paragraphs 3 and 4 of the Order.

The Company has provided security for financial assistance availed by Jaiprakash Associates Limited, the holding company, from its lenders.
(v) in our opinion and according to the information and explanations given to us the Company has not accepted any deposit during the year. The Company has generally complied with the provisions of Sections 73 to 76 or any other relevant provisions of the Companies Act, 2013; however, there have been delays in repayment of matured fixed deposits which had matured for repayment on or before the balance sheet date and were outstanding as at 31st March 2017. The National Company Law Tribunal (NCLT) has vide its order dated 12.04.2017, granted time till 30.06.2017 for repayment of fixed deposits alongwith interest, in respect of deposits outstanding till 31.03.2017.
(vi) According to the information and explanations given to us, cost records as prescribed by the Central Government under section 148(1) of the Companies Act, 2013 are being made and maintained.
(vii) (a) As per records produced before us and according to the information and explanations given to us the Company is generally regular in depositing undisputed statutory dues including Provident Fund, Employeesâ State insurance, income-tax, Sales tax, Service tax, Customs Duty, Excise Duty, Value Added Tax, Cess and other material statutory dues applicable to it to the appropriate authorities, and there were no arrears of such dues at the end of the year which have remained outstanding for a period of more than six months from the date they became payable.
(b) As per records produced before us and according to the information and explanations given to us there are no dues of income-tax or Sales-tax or Service Tax, or duty of Customs or duty of Excise, or Value Added Tax which have not been deposited on account of any dispute, except for the following:

(xiv) During the year the Company has not made any preferential allotment or private placement of shares or fully or partly convertible debentures and hence reporting under clause (xiv) of the Order is not applicable to the Company.
(xv) in our opinion and according to the information and explanations given to us, during the year the Company has not entered into any non-cash transactions with its directors or directors of its holding, subsidiary or associate company or persons connected with them and hence provisions of section 192 of the Companies Act, 2013 are not applicable.

and auditing standards and matters which are required to be included in
the audit report under the provisions of the Act and the Rules made
thereunder.
We conducted our audit in accordance with the Standards on Auditing
specified under Section 143(10) of the Act. Those Standards require
that we comply with ethical requirements and plan and perform the audit
to obtain reasonable assurance about whether the financial statements
are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about
the amounts and the disclosures in the financial statements. The
procedures selected depend on the auditor's judgment, including the
assessment of the risks of material misstatement of the financial
statements, whether due to fraud or error. In making those risk
assessments, the auditor considers internal financial control relevant
to the Company's preparation of the financial statements that give a
true and fair view in order to design audit procedures that are
appropriate in the circumstances, but not for the purpose of expressing
an opinion on whether the Company has in place an adequate internal
financial controls system over financial reporting and the operating
effectiveness of such controls. An audit also includes evaluating the
appropriateness of the accounting policies used and the reasonableness
of the accounting estimates made by the Company's Directors, as well
as evaluating the overall presentation ofthe financial statements.
We believe that the audit evidence we have obtained is sufficient and
appropriate to provide a basis for our audit opinion on the financial
statements.
Opinion
In our opinion and to the best of our information and according to the
explanations given to us, the aforesaid financial statements give the
information required by the Act in the manner so required and give a
true and fair view in conformity with the accounting principles
generally accepted in India, of the state of affairs of the Company as
at 31st March, 2015, and its profit and its cash flows for the year
ended on that date.
Report on Other Legal and Regulatory Requirements
1. As required by the Companies (Auditor's Report) Order, 2015 ("the
Order") issued by the Central Government in terms of Section 143(11) of
the Act, we give in the Annexure a statement on the matters specified
in paragraphs 3 and 4 of the Order.
2. As required by Section 143(3) of the Act, we report that:
a) we have obtained all the information and explanations which to the
best of our knowledge and belief were necessary for the purpose of our
audit;
b) In our opinion, proper books of account as required by law have been
kept by the Company so far as it appears from our examination of those
books.
c) the Balance Sheet, Statement of Profit and Loss, and Cash Flow
Statement dealt with by this Report are in agreement with the books of
account.
d) In our opinion, the aforesaid financial statements comply with the
Accounting Standards specified under Section 133 of the Act, read with
Rule 7 of the Companies (Accounts) Rules, 2014.
e) On the basis of the written representations received from the
directors as on 31st March, 2015 taken on record by the Board of
Directors, none ofthe directors is disqualified as on 31st March, 2015
from being appointed as a director in terms of Section 164(2) of the
Act.
f) With respect to the other matters to be included in the Auditor's
Report in accordance with Rule 11 of the Companies (Audit and Auditors)
Rules, 2014, in our opinion and to the best of our information and
according to the explanations given to us:
i. The Company has disclosed the impact of pending litigations on its
financial position in its financial statements - Refer Note 26 to the
financial statements.
ii. The Company did not have any long-term contracts including
derivative contracts for which there were any material foreseeable
losses.
ANNEXURE referred to in paragraph 1 under 'Report on Other Legal and
Regulatory Requirements' section of our report of even date to the
members of JAYPEE INFRATECH LIMITED on the accounts of the Company for
the year ended 31st March 2015.
On the basis of such checks as we considered appropriate and according
to the information and explanation given to us during the course of our
audit, we report that:
(i) (a) The Company is maintaining proper records showing full
particulars, including quantitative details and situation of fixed
assets.
(b) A substantial portion of the Fixed Assets have been physically
verified by the management during the year and to the best of our
knowledge and information given to us, no material discrepancies have
been noticed on such physical verification.
(ii) (a) As explained to us, the Inventory has been physically verified
by the management at reasonable intervals during the year.
(b) In our opinion the procedures of physical verification of
inventories followed by the management are reasonable and adequate in
relation to the size of the Company and the nature of its business.
(c) In our opinion and according to the information and explanations
given to us, the Company has maintained proper records of its
inventories and no material discrepancies were noticed on physical
verification.
(iii) The Company has not granted any loans, secured or unsecured to
companies, firms or other parties covered in the register maintained
under section 189 of the Companies Act, 2013.
(iv) In our opinion, there is an adequate internal control system
commensurate with the size of the Company and the nature of its
business for the purchase of inventory and fixed assets and for sales
of goods & services. During the course of our audit we have not
observed any major weakness in such internal control system.
(v) In our opinion and according to the information and explanations
given to us the Company has not accepted any deposit during the year.
The Company has generally complied with the provisions of Sections 73
to 76 or any other relevant provisions of the Companies Act, 2013;
however, there have been delays in repayment of matured fixed deposits
which had matured for repayment on or before the balance sheet date and
were outstanding as at 31st March 2015. The New Delhi Bench of the
Hon'ble Company Law Board has vide its order dated 29th April, 2015,
granted thirty days time from 30th April, 2015 to clear matured fixed
deposits and six months time from 30th April, 2015to clear pre matured
fixed deposits alongwith interest.
(vi) According to the information and explanations given to us, cost
records as prescribed by the Central Government under section 148(1) of
the Companies Act, 2013 are being made and maintained.
(vii) (a) As per records produced before us and according to the
information and explanations given to us the Company is generally
regular in depositing undisputed statutory dues applicable to it like,
Provident Fund, Employees' State Insurance, Income-tax, Service Tax,
Sales Tax/ Value Added Tax, Wealth Tax, Customs Duty, Excise Duty, Cess
and other material statutory dues applicable to it with the appropriate
authorities, and there were no arrears of such dues at the end of the
year which have remained outstanding for a period of more than six
months from the date they became payable.
(b) As per records produced before us and according to the information
and explanations given to us there are no dues of Income-tax,
Sales-tax, Wealth tax, Service Tax, Customs duty, Excise Duty, Value
Added Tax or Cess which have not been deposited on account of any
dispute, except for the following:

explanations given by the management, we are of the opinion that the
Company has not defaulted in repayment of dues to any financial
institution, bank or debenture holder, except some instances of delay
in payment of interest to financial institutions, banks and debenture
holders ranging for a period from 1 day to 88 days, these have been
subsequently made good, except over-due interest on borrowings
amounting to Rs. 1,623,419,479/- which is outstanding as at 31st
March 2015 for a period of 1 to 58 days and which is being reflected
under Note No.8 -'Other Current Liabilities' in the financial
statements.
(x) In our opinion and according to the information and explanations
given to us, where the Company has given guarantee for loans/NCDs taken
by its holding company/ fellowsubsidiarycompanyfrom banks or financial
institutions, the terms and conditions thereof are not prejudicial to
the interest of the company.
(xi) To the best of our knowledge and belief and according to the
information and explanations given to us, term loans availed
by the Company were applied by the Company during the year for the
purposes for which the loans were obtained, other than temporary
deployment pending application.
(xii) According to the information and explanations given to us, no
fraud on or by the Company has been noticed or reported during the
year.

Report on the Financial Statements
We have audited the accompanying financial statements of JAYPEE
INFRATECH LIMITED ("the Company"), which comprise the Balance Sheet
as at March 31, 2013, the Statement of Profit and Loss, and the Cash
Flow Statement for the year then ended, and a summary of significant
accounting policies and other explanatory information.
Management''s Responsibility for the Financial Statements
Management is responsible for the preparation of these financial
statements that give a true and fair view of the financial position,
financial performance and cash flows of the Company in accordance with
the Accounting Standards referred to in sub-section (3C) of section 211
of the Companies Act, 1956 ("the Act"). This responsibility
includes the design, implementation and maintenance of internal control
relevant to the preparation and presentation of the financial
statements that give a true and fair view and are free from material
misstatement, whether due to fraud or error.
Auditor''s Responsibility
Our responsibility is to express an opinion on these financial
statements based on our audit. We conducted our audit in accordance
with the Standards on Auditing issued by the Institute of Chartered
Accountants of India. Those Standards require that we comply with
ethical requirements and plan and perform the audit to obtain
reasonable assurance about whether the financial statements are free
from material misstatement.
An audit involves performing procedures to obtain audit evidence about
the amounts and disclosures in the financial statements. The procedures
selected depend on the auditor''s judgment, including the assessment of

Opinion
In our opinion and to the best of our information and according to the
explanations given to us, the financial statements give the information
required by the Act in the manner so required and give a true and fair
view in conformity with the accounting principles generally accepted in
India:
a) in the case of the Balance Sheet, of the state of affairs of the
Company as at March 31, 2013;
b) in the case of the Statement of Profit and Loss, of the profit for
the year ended on that date; and
c) in the case of the Cash Flow Statement, of the cash flows for the
year ended on that date.
Report on Other Legal and Regulatory Requirements
1. As required by the Companies (Auditor''s Report) Order, 2003 ("the
Order") issued by the Central Government of India in terms of
sub-section (4A) of section 227 of the Act, we give in the Annexure a
statement on the matters specified in paragraphs 4 and 5 of the Order.
2. As required by section 227(3) of the Act, we report that:
a) we have obtained all the information and explanations which to the
best of our knowledge and belief were necessary for the purpose of our
audit;
b) in our opinion proper books of account as required by law have been
kept by the Company so far as appears from our examination of those
books
c) the Balance Sheet, Statement of Profit and Loss, and Cash Flow
Statement dealt with by this Report are in agreement with the books of
account.
d) in our opinion, the Balance Sheet, Statement of Profit and Loss, and
Cash Flow Statement comply with the Accounting Standards referred to in
subsection (3C) of section 211 of the Companies Act, 1956;
e) on the basis of written representations received from the directors
as on March 31, 2013, and taken on record by the Board of Directors,
none of the directors is disqualified as on March 31, 2013, from being
appointed as a director in terms of clause (g) of sub-section (1) of
section 274 of the Companies Act, 1956.
f) Since the Central Government has not issued any notification as to
the rate at which the cess is to be paid under section 441A of the
Companies Act, 1956 nor has it issued any Rules under the said section,
prescribing the manner in which such cess is to be paid, no cess is due
and payable by the Company.
ANNEXURE referred to in paragraph 1 of our report of even date to the
members of JAYPEE INFRATECH LIMITED on the accounts of the Company for
the year ended 31st March 2013.
On the basis of such checks as we considered appropriate and according
to the information and explanation given to us during the course of our
audit, we report that:
(i) (a) The Company is maintaining proper records showing full
particulars, including quantitative details and situation of fixed
assets.

to book records were not material and these have been properly dealt
with in the books of account.
(iii) The Company has not granted nor taken any loans, secured or
unsecured to/from companies, firms or other parties covered in the
register maintained under section 301 of the Companies Act, 1956.
(iv) In our opinion, there is an adequate internal control system
commensurate with the size of the Company and the nature of its
business for the purchase of inventory and fixed assets and for sales.
During the course of our audit we have not observed any continuing
failure to correct major weaknesses in internal control system.
(v) Based on the audit procedures applied by us and according to the
information and explanations given to us, we are of the opinion that
the particulars of contracts or arrangements referred to in section 301
of the Companies Act, 1956 have been entered into the register required
to be maintained under that section. The transactions made in
pursuance of such contracts or arrangements have been made at prices
which are reasonable having regard to prevailing market prices at the
relevant time.
(vi) In our opinion and according to the information and explanations
given to us the Company has complied with the provisions of Section
58A, 58AA and any other provisions of the Companies Act, 1956, and the
rules framed thereunder with regard to the deposits accepted from the
public. As informed to us, no order has been passed by the Company Law
Board or National Company Law Tribunal or Reserve Bank of India or any
court or any other Tribunal.
(vii) In our opinion the Company has an internal audit system
commensurate with the size & nature of its business.
(viii) According to the information and explanations given to us, cost
records as prescribed by the Central Government under section 209(1)(d)
of the Companies Act, 1956 are being made and maintained.
(ix) (a) As per records produced before us and according to the
information and explanations given to us the Company is generally
regular in depositing undisputed statutory dues applicable to it like,
Income-tax, Wealth Tax, Provident Fund, Sales Tax, Service Tax, and
other material statutory dues applicable to it, with the appropriate
authorities, and there were no arrears of such dues at the end of the
year which have remained outstanding for a period of more than six
months from the date they became payable.
(b) As per records produced before us and according to the information
and explanations given to us there are no dues of Income-tax,

as at 31st March 2011, and also the annexed Profit and Loss Account and
the Cash Flow statement for the year ended 31st March 2011. These
financial statements are the responsibility of the Company's
management. Our responsibility is to express an opinion on these
financial statements based on our audit.
We conducted our audit in accordance with auditing standards generally
accepted in India. Those Standards require that we plan and perform the
audit to obtain reasonable assurance about whether the financial
statements are free of material misstatement. An audit includes
examining, on a test basis, evidence supporting the amounts and
disclosures in the financial statements. An audit also includes
assessing the accounting principles used and significant estimates made
by management, as well as evaluating the overall financial statement
presentation. We believe that our audit provides a reasonable basis for
our opinion.
We report that:
(1) As required by the Companies (Auditor's Report) Order 2003 as
amended by the Companies (Auditor's Report) (Amendment) Order 2004,
issued by the Central Government of India in terms of Section 227(4-A)
of the Companies Act, 1956, we give in the Annexure a statement on the
matters specified in paragraphs 4 and 5 of the said Order.
(2) Further to our comments in the Annexure referred to in paragraph 1
above:
(a) We have obtained all the information and explanations, which to the
best of our knowledge and belief were necessary for the purpose of our
audit;
(b) In our opinion, proper books of account have been kept by the
Company as required by law so far as appears from our examination of
those books;
(c) The Balance Sheet, the Profit and Loss Account and Cash Flow
statement referred to in this report, are in agreement with the books
of account;
(d) In our opinion, the Balance Sheet, the Profit and Loss Account and
Cash Flow statement referred to in this report, comply with the
accounting standards referred to in sub- section (3C) of Section 211 of
the Companies Act, 1956;
(e) In our opinion and to the best of our information and according to
the explanations given to us, the said accounts, read together with
significant accounting policies and other notes thereon give the
information required by the Companies Act, 1956, in the manner so
required and give a true and fair view:
i) in the case of the Balance Sheet, of the state of affairs of the
Company as at 31st March 2011,
ii) in the case of the Profit and Loss Account, of the Profit of the
Company for the year ended 31st March 2011, and
iii) in the case of the Cash Flow Statement, of the cash flows of the
Company for the year ended 31st March 2011.
ANNEXURE TO THE AUDITORS' REPORT
Referred to in paragraph 1 of our report of even date on the accounts
for the year ended 31st March 2011 of JAYPEE INFRATECH LIMITED.
(i) (a) The Company is maintaining proper records showing full
particulars, including quantitative details and situation of fixed
assets.
(b) A substantial portion of the Fixed Assets have been physically
verified by the management during the year and to the best of our
knowledge and information given to us, no material discrepancies have
been noticed on such physical verification.
(c) Fixed assets disposed off during the year, are not material so as
to affect the Company as a going concern.
(ii) (a) The Inventory has been physically verified by the management
at reasonable intervals during the year.
(b) In our opinion the procedures of physical verification of
inventories followed by the management are reasonable and adequate in
relation to the size of the Company and the nature of its business.
(c) The Company is maintaining proper records of inventory. The
discrepancies noticed on physical verification of inventory as compared
to book records were not material and these have been properly dealt
with in the books of account.
(iii) The Company has not granted nor taken any loans, secured or
unsecured to/from companies, firms or other parties covered in the
register maintained under section 301 of the Companies Act, 1956.
(iv) In our opinion, there is an adequate internal control system
commensurate with the size of the Company and the nature of its
business for the purchase of inventory and fixed assets and for sales.
During the course of our audit we have not observed any continuing
failure to correct major weaknesses in internal control system.
(v) Based on the audit procedures applied by us and according to the
information and explanations given to us, we are of the opinion that
the particulars of contracts or arrangements referred to in section 301
of the Companies Act, 1956 have been entered into the register required
to be maintained under that section. The transactions made in
pursuance of such contracts or arrangements have been made at prices
which are reasonable having regard to prevailing market prices at the
relevant time.
(vi) In our opinion and according to the information and explanations
given to us the Company has complied with the provisions of Section
58A, 58AA and any other provisions of the Companies Act, 1956, and the
rules framed thereunder with regard to the deposits accepted from the
public. As informed to us, no order has been passed by the Company Law
Board or National Company Law Tribunal or Reserve Bank of India or any
court or any other Tribunal.
(vii) In our opinion the Company has an internal audit system
commensurate with the size & nature of its business.
(viii) According to the information and explanations given to us Clause
(viii) of Para 4 of the Order is not applicable.
(ix) (a) As per records produced before us and according to the
information and explanations given to us the Company is generally
regular in depositing undisputed statutory dues applicable to it like,
Income-tax, Wealth Tax, Provident Fund, Sales Tax, Service Tax, and
other material statutory dues applicable to it, with the appropriate
authorities, and there were no arrears of such dues at the end of the
year which have remained outstanding for a period of more than six
months from the date they became payable.
(b) As per records produced before us and according to the information
and explanations given to us there are no dues of Income-tax,
Sales-tax, Customs duty, Wealth tax, Service Tax, Excise Duty or Cess
which have not been deposited on account of any dispute, except for the

(x) As the Company is one which has been registered for a period of
less than five years, Clause (x) of Para 4 of the Order is not

(xi) Based on our audit procedures and on the information and
explanations given by the management, we are of the opinion that the
Company has not defaulted in repayment of dues to any financial
institution, bank or debenture holder.
(xii) The Company has not granted loans and advances on the basis of
security by way of pledge of shares, debentures and other securities.
(xiii) In our opinion the Company is not a chit fund or a nidhi/mutual
benefit fund/society. Hence, Clause (xiii) of Para 4 of the Order is
not applicable.
(xiv) In our opinion the Company is not dealing in or trading in
shares, debentures or other investments. Accordingly, Clause (xiv) of
Para 4 of the Order is not applicable.
(xv) In our opinion and according to the information and explanations
given to us, where the Company has given guarantee for loans/ NCDs
taken by its holding company/fellow subsidiary company from banks or
financial institutions, the terms and conditions thereof are not
prejudicial to the interest of the company.
(xvi) To the best of our knowledge and belief and according to the
information and explanations given to us, term loans availed by the
Company were applied by the Company during the year for the purposes
for which the loans were obtained, other than temporary deployment
pending application.
(xvii) According to the information and explanations given to us and on
the overall examination of the Balance Sheet of the Company for the
period under report, we are of the opinion that no funds raised on
short term basis have been used for long term investment.
(xviii)According to the information and explanations given to us the
Company has not made any preferential allotment of shares to parties
and companies covered in the Register maintained under section 301 of
the Companies Act, 1956.
(xix) According to the information and explanations given to us the
Company has created security/charge in respect of secured redeemable
non-convertible debentures issued and outstanding at the end of the
year.
(xx) Based on our audit procedures and on the information and
explanations given to us, the management has disclosed on the end use
of money raised by public issue and the same has been duly verified.
(xxi) According to the information and explanations given to us, no
fraud on or by the Company has been noticed or reported during the
year.

the year.
(vii) During the year under observation, the Company had an internal
audit system commensurate with its size & nature of its business
wherein it was observed that all transactions are carried out under the
personal supervision of senior officials/directors of the Company.
(viii)According to the information and explanations given to us Clause
(viii) of Para 4 of the Order is not applicable.
(ix) (a) As per records produced before us and according to the
information and explanations given to us the Company is generally
regular in depositing undisputed statutory dues applicable to it like,
Income-tax, Wealth Tax, Provident Fund, Sales Tax, Service Tax, and
other material statutory dues applicable to it, with the appropriate
authorities, and there were no arrears of such dues at the end of the
year which have remained outstanding for a period of more than six
months from the date they became payable.
(b) As per records produced before us and according to the information
and explanations given to us there are no dues of Income-tax,
Sales-tax, Customs duty, Wealth tax, Service Tax, Excise Duty or Cess
which have not been deposited on account of any dispute, except for the

information and explanations given to us, term loans availed by the
Company were applied by the Company during the year for the purposes
for which the loans were obtained, other than temporary deployment
pending application.
(xvii) According to the information and explanations given to us and on
the overall examination of the Balance Sheet of the Company for the
period under report, we are of the opinion that no funds raised on
short term basis have been used for long term investment.
(xviii) Where the Company has made, during the year, a preferential
allotment of twenty six crores equity shares at par to Jaiprakash
Associates Limited, the holding company, the price, in our opinion and
as per explanations given to us, is not prejudicial to the interests of
the Company.
(xix) According to the information and explanations given to us the
Company has created security/charge in respect of secured
non-convertible redeemable debentures issued and outstanding at the end
of the year.
(xx) As the Company has not raised any money by way of public issues,
Clause (xx) of Para 4 of the Order is not applicable.
(xxi) According to the information and explanations given to us, no
fraud on or by the Company has been noticed or reported during the
year.
