SB&T International Ltd. Company History and Annual Growth Details

The Company was originally incorporated as a Private Limited Company on 14.10.1986 as S.B.& T Gems & Jewellery Exports Private Limited and by a Special Resolution passed on 11th September, 1993, the company was converted into a Public Limited Company and the name of the Company was changed to S.B.& T International Limited and a fresh Certificate of incorporation has been obtained on 27th September, 1993, from the Registrar of Companies, Maharashtra.

The Company has been promoted by the Sethi Family who is Non-Resident Indian established himself in jewellery business in USA for last two decades, he is in this business after promoting S.B.& T Gems Imports Inc., USA in 1972 alongwith his brother Mr. Nalin Sethi and Mr. Leeland R. Bertillion. The elder brother of Mr. Virendra Kumar Sethi viz., Mr. Surendra Kumar Sethi who had business interests in textile yarn till then, along with his son, Mr. Varij Sethi promoted S.B.& T. Gems & Jewellery Exports Pvt. Ltd. (now S.B. & T. Gem Imports Inc., U.S.A. Mr. Varij Sethi, the Managing Director of S.B.& T. International Ltd. was trained for three years between 1985 to 1988 at S.B.& T. Gem Imports Inc., U.S.A.

The collaboration between Indian & U.S. companies has been a mutually beneficial arrangement. While the foreign collaborators got a reliable source for import of Jewellery the Indian company got assured sales. Over the years, the Indian company developed markets other than U.S.A. S.B.& T. International Ltd now exports only 55% of its production to its foreign collaborators. The remaining 45% of their production is exported to other customers in the U.S.A., Germany, U.K. & Austria.

2002- Mr Ravi Khubchandani and Mr Abhishek Jain have been appointed as Independent non-executive directors of the company and Mr Vivek Tharaney have been re-appointed as Whole-time Director (Production) for a period of 5 years.

2003

-M/s Systematik Finvest Private Ltd acquires 0.32% of the paid up capital of the company on behalf of the promoters of the company under creeping acquisition route. After this acquisition M/s Systematik Finvest Private Ltd hold 300,000 equity shares aggregating to 2.22% of the paid up capital of the company

2004

-Shares delisted from Ahmedabad Stock Exchange

-SB&T International Ltd has informed that SB&T UK Ltd have received orders from two television shopping networks aggregating to US $ 350,000

-SB&T Intl gets order from ISS for jewellery exports

-Delist from Jaipur Stock Exchange wef May 15, 2004.

2007

- SB&T International Ltd has changed the registered office address of the Company from 'SEEPZ' Gems & Jewellery Complex, Unit G3, Andheri (E), Mumbai to Sreeji Chambers, 1st Floor, Road No. 2, Opera House, Mumbai with effect from February 20, 2007.

2009

- SB&T International Ltd has inducted Mr. Sunil Barjatiya as an Independent & Non-Executive Director in the Company with effect from January 01, 2009.
