Spencers Retail Ltd. Company History and Annual Growth Details

Our Company was incorporated as RP-SG Retail Limited, a public limited company under the Companies Act, 2013 in Kolkata, West Bengal, India, pursuant to a certificate of incorporation dated February 8, 2017 issued by the  RoC. Subsequently, the name  of our Company was changed to its present name, Spencer’s Retail Limited, pursuant to the order of the National Company Law Tribunal, Kolkata Bench dated March 28, 2018 approving the Scheme of Arrangement, and a fresh certificate of incorporation pursuant to change of name was issued by the RoC on December 13, 2018. Our Company’s retail business was earlier undertaken by the erstwhile Spencer’s Retail Limited since November 22, 2000, which was incorporated under the Companies Act, 1956. Pursuant to the Scheme of Arrangement, the Retail Undertaking 2 of the erstwhile Spencer’s Retail Limited, wasdemerged into our Company with effect from the appointed date of October 1, 2017 in accordance with Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.

-Allotment of shares by virtue of Schemeof Arrangement

-The  name  of our Company  was  changed  from  RP-SG Retail Limited to Spencer’s Retail Limited
